there was such a saying, stock market in the short term is like a voting machine, majority vs minority and purely sentiments. But in the long term, it like a weighing machine, it will realize its real value and be valued at what it is worth. If you are short term, then go with sentiments. I prefer to wait out for the company to realize the real value.

can' t be sure only guessing because the volume at forty six and forty five half quite huge to buyers. Not sure if the mass retailers have so much. But for sure there is sellers

Ausgroup plans to acquire Port Melville and marine services from Ezion for S$55m, to be satisfied by S$14m cash and S$41m shares (92.155541m Ausgroup shares @ S$0.4449). Valuation looks fair as Ezion has spent around S$45-50m on capex developing the marine supply base. Post this transaction, Ezion' s shareholding will be lifted from 6.2% to 17.8%. If all its 110m options are exercised, Ezion may own up to 27% of Ausgroup. Currently, we have estimated the marine supply base to contribute about US$6m to bottomline or 2% of Ezion' s FY15 net profit. We believe the deal is win-win for both parties. It complements Ausgroup' s existing business in Australia and allows it to further streamline its costs. For Ezion, the spinoff will reduce commitment on capex and management' s time to expand the Port Melville business. Port Melville will be a growth engine for Ausgroup, potentially increase its earnings by 1.5x by FY16 based on our back-of-theenvelope calculation. |

Yes and at about 45c per share.
This is much higher than then 37c/sh ezion paid earlier. Ezion will own 17+% of Ausgroup. Great use of capital markets!

AusGroup to buy Ezion' s offshore unit, 90% of Teras Australia for S$55m
 MARINE and offshore company AusGroup said it has inked on Tuesday a sale and purchase agreement (Spa) with Ezion Holdings to but Ezion Offshore Logistics Hub (EOLH) and 90 per cent of Teras Australia for S$55 million. EOLH, an investment holding company incorporated in Singapore, holds 90 per cent of Teras Australia, a shipping company incorporated in Australia. The remaining 10 per cent is held by Australia' s Aboriginal Maritime. AusGroup said the acquisition will allow it to expand into the business of providing onshore and off-shore marine services, including marine logistics and related support services in Australia - a strategy already approved by its shareholders at its last extraordinary general meeting (EGM). The acquisition will also enhance AusGroup' s capacity to provide integrated delivery capabilities - covering all components of the oil and gas asset supply chain - and add new marine services capabilities and end-market expertise to its platform, said the company in a statement. |
