Currently, Adani Commodities and Lence each own 43.94 per cent of Adani Wilmar&rsquo s existing paid-up equity share capital, aggregating to 87.87 per cent of the equity shares. The remaining 12.13 per cent of the equity shares in Adani Wilmar is held by public shareholders. (Under the regulations of the Securities and Exchange Board of India, Adani Wilmar is required to maintain a minimum public shareholding of 25 per cent.) Following Lence' s acquisition of the shares, Adani Wilmar would become a subsidiary of Wilmar, with the transaction being funded from internal sources and bank borrowings. Wilmar plans to bring in strategic investors to facilitate Adani Wilmar' s growth. |

this wilmar is like an oil company getting oil out of tree.  they can up their income by leaving a bit of space between the trees when replanting to allow some under the palm tree growth. in that way they can have goat farming, free range chicken running below the trees. these animals and birds will produce shit that will help make soil fertile. so reduce cost of artificial fertiliser. see increased income with reduce expditure. hope they do it soon. to extract more income for share holders.    slowly but surely it can happen as others are doing it.

Adani Wilmar to become subsidiary of Wilmar International after share sale
SINGAPORE &ndash Indian billionaire Gautam Adani&rsquo s Adani Group will sell a 20 per cent stake in Adani Wilmar for 71.48 billion rupees (S$1.1 billion) as it exits non-core activities to focus on the bread-and-butter infrastructure businesses. 
 
The move will see Adani Wilmar, one of India&rsquo s largest retailers of cooking oil, rice and pulses, become a subsidiary of Singapore Exchange-listed Wilmar International.
 
Adani Wilmar, a joint venture between Adani Group and Wilmar International, is listed on the Bombay Stock Exchange and National Stock Exchange of India.
 
Adani Group, a port-to-power conglomerate that holds a nearly 44 per cent stake in Adani Wilmar, will sell up to 13.5 per cent to the public in a sale offer beginning on Jan 10, with an option to sell an additional 6.5 per cent, making up the 20 per cent.
 
The sale of Adani Group&rsquo s stake in Adani Wilmar will take place over two trading days, starting on Jan 10 for institutional investors and wealthy individuals, and Jan 13 for retail buyers.
 
The group has set a floor price of 275 rupees a share, a near 15 per cent discount to Adani Wilmar&rsquo s Jan 9 closing price of 323.45 rupees on the National Stock Exchange of India.
 
Adani Wilmar was slated to start a share sale in 2024 to comply with a local securities law that requires at least 25 per cent of the holding to be with public shareholders within three years of listing. The company listed in 2022 and has until February 2025 to meet the rule.
 
Wilmar International said in a stock exchange filing in December 2024 that it would acquire a maximum stake of 31.06 per cent in Adani Wilmar from Adani Group, at a maximum price of 305 rupees.
 
The Singapore company could own as much as 75 per cent of Adani Wilmar after the share sale, compared with 44 per cent now, making Adani Wilmar its subsidiary.
 
The move could potentially help to boost Wilmar International&rsquo s net profits in 2025 and 2026, at a time when the Singapore company is expected to see stronger contributions from its soya bean processing business in China after several years of oversupply, said Aletheia Capital analyst Nirgunan Tiruchelvam.
 
Mr Tiruchelvam upgraded his revenue and earnings forecasts for Wilmar International in a Jan 10 report, citing upside from both the acquisition of Adani Wilmar and the China soya bean business.
 
He noted that the company, which at current share price levels has a record dividend yield of 5.5 per cent, could generate more buying interest in the weeks ahead.
 
&ldquo It suggests that the controlling shareholder could accumulate the stock, as well as potential interest from income funds,&rdquo Mr Tiruchelvam said.
 
Based on his valuation forecasts, Wilmar International shares could be worth as much as $3.54 in the next 12 months.

Aletheia Capital upgrades Wilmar to ' buy' from ' sell' on higher margins and Adani JV acquisition
Nirgunan Tiruchelvam of Altheia Capital has turned bullish on Wilmar International following news that it will be taking control of a joint venture it now runs with its partner in India Adani.
 
Along with improving operating margins, and an indicative dividend payout at a yield reaching a " historic high" , Tiruchelvam has in his Jan 10 note upgraded his call on Wilmar to " buy" from " sell" previously, along with a target price of $3.54, up from $2.10. 
 
Tiruchelvam had earlier noted that Wilmar is vulnerable to the unwinding of the carry trade in previous reports, and also got to bear with " excessive" leverage and poor returns. 
 
" The stock has fallen by 30% since our initiation in August 2023. These risks seem to be priced in," he says.
 
In a recent development on Dec 30, the company announced plans to raise its stake in Bombay-quoted Adani Wilmar, from 44% to 75%, as the partner Adani moves ahead to focus its sprawling businesses into other areas. 
 
Adani Wilmar is a key supplier of cooking oil, flour and other food ingredients in India and all in, Tiruchelvam has raised his ebitda forecasts for Wilmar by 9% for FY2025 and FY2026, as margins were held low in FY2023 and FY2024 because of overcapacity. 
 
With inventory levels of soybean oil at the lowest since 1976, the analyst expects margins to widen as a result. " The improved prospects for the core soy processing business is the cause for optimism," he adds.
 
Tiruchelvam also observes that Wilmar has maintained a dividend payout ratio of between 40 and 55% in the last decade. The indicated dividend yield of 5.5% is at a record high.
 
Furthermore, controlling shareholder Kuok Khoon Hong has been known to steadily accumulate additional shares at around $3, where Wilmar is trading now.
 
" The chances of insider buying are strong due to the falling interest rates. The dividend yields are even more attractive due to the possibility of rate cuts," suggests Tiruchelvam.

just used up so much cash to buy adani wilmar. increased share means more profit accounted from this subsi. their problem is high debt level.  so affected by interest rate projection. current projection is interest rate cut on hold supported by better non farm payroll. but is the improve numbers from non farm payroll from seasonal factors as more are empoyed to handle year end sale boom. if they can have a plan to reduce debt with profits then there is better prospect. |

Short term is a strain on cash. Fmcg is a natural hedge against inflation. Plus they get palm oil from farm. wonder when they can claim carbon credit for using waste product as fuel etc. they do need to reduce debt. To look better to analyst. But in real palm oil is gushing out of the palm tree every year. | ||
