ASTI Holdings will be delisted as it has failed to meet the regulatory requirements for exiting the watch list since 6 June 2019. The trading has been suspended since July 2022. There has been much concern among the minority shareholders as to whether in fact there is an offer  on the table mentioned by the current ASTI board, or if they should elect a new board of directors to secure an exit offer.
SIAS recently organised a dialogue session with ASTI shareholders and the proposed new board of directors on 16th  August 2023 to discuss the resolutions to be tabled at the upcoming EGM. Shareholders who did not attend the dialogue session held on 16th  August can watch the recording by  clicking here. Shareholders of ASTI should attend the EGM on 22nd  August 2023, 10am at Meeting Room, 9 Straits View Level 3, Marina One West Tower, Singapore 018937, as they should take the opportunity to discuss issues affecting them. In our view, the issue of legality of the EGM is for a Court to decide and not for the Company.
SIAS will also be organising a dialogue session with ASTI board and management on 21st  August 2023, 7pm at SBF Center Level 6, 160 Robinson Road, Singapore 068914. All shareholders are invited and encouraged to raise your concerns on the latest developments and FY21 results. ASTI AGM for FY21 will be held on 31st  August 2023, 2pm at Lifelong Learning Institute, Event Hall 2-1 (Level 2), 11 Eunos Road 8, Singapore 408601.
SIAS would, therefore, urge all shareholders of ASTI Holdings Ltd to attend both the EGM on 22nd  August 2023 and the AGM on 31st  August 2023 to vote on the resolutions as it is your right as a shareholder to attend the meeting, ask questions and vote.

Thailand-listed Capital Engineering Network to buy 19.9% stake in Asti from non-exec chairman
 
CAPITAL Engineering Network Public Company, which is listed on the Stock Exchange of Thailand (SET), will acquire about 130.2 million shares or a stake of 19.9 per cent in suspended and watch-listed local chip manufacturing services company Asti Holdings.
 
Capital Engineering Network is buying these shares from Asti&rsquo s non-executive chairman Michael Loh.
 
It was announced on Feb 9 that Loh had entered into a share purchase agreement for the disposal of his entire shareholding in the company to Capital Engineering Network.
 
Loh will get 80 million shares in Capital Engineering Network for his stake in Asti. These 80 million shares amount to about 216.1 million baht (S$8.5 million). 
 
According to a filing on the SET, the 80 million shares represent about 9.7 per cent of Capital Engineering Network&rsquo s post-allotment paid-up capital.
 
The acquisition of shares in Asti is subject to the approval of Capital Engineering Network&rsquo s shareholders at the extraordinary general meeting to be held on Mar 15. 
 
In October last year, Asti said a substantial shareholder indicated his intention to explore a possible exit offer to other shareholders for their shares. Loh had made the announcement on behalf of Asti&rsquo s board of directors.
 
Previously, the company had also said it would be delisted from the Catalist board for failing to meet the requirements to exit the watch list. 
On 7Feb, substantial shareholder Ng Yew Nam purchased 13,644,000 for a consideration of $382,032. Works out to be $0.028 per share.....
On 8Feb, Dato Michael Lee sold 80,000,000 shares to a Thai buyer for a consideration of ~$8,517,000. Works out to be about $0.064 per share..
Have these transactions set a possible range for pending exit offer to come? Bought in at $0.014 on the last day before halt 😁 😁

Asti shareholder could make exit offer as the company heads for delisting
WATCH-LISTED chip manufacturing services company Asti Holdings : 575 0% announced that a substantial shareholder has indicated his intention to explore a possible exit offer to other shareholders for their shares.
 
The company said in a statement filed to the Singapore Exchange on Wednesday (Oct 5) that the potential offeror has not yet appointed his own advisers and that he is still in the midst of finalising the details of the exit offer. 
 
Therefore, Asti noted there is no certainty or assurance that an exit offer will be made by the potential offeror, who was not named in the filing.
 
Previously, the company said it would be delisted from the Catalist board for failing to meet the requirements to exit the watch list. Trading of Asti shares has been suspended since July.
