AEM-acquired CEI to delist on July 6
Following the completion of the acquisition of dissenting shareholders' stakes by the offeror AEM Singapore on July 5, CEI will be delisted on July 6.Contract manufacturer CEI was acquired by a wholly-owned firm of electronics services provider AEM Holdings at S$1.15 per share, with an option for shareholders to go for all cash or cash with new AEM shares.
As the compulsory acquisition of the stakes owned by the minority who did not accept the offer has been completed, CEI in a regulatory filing on Monday to the Singapore Exchange announced its delisting from the mainboard at 9 am on Tuesday.
AEM launched a S$99.7 million acquisition offer for CEI in January. It had said it planned to continue developing the business and did not intend to introduce any major changes.
AEM got more than 90% of the shares. CEI suspended. DL process will commence as per SGX rules.
Would AEM extend the offer if they don' t get 90%?

尽 管 CEI公 司 过 去 都 派 发 高 达 九 成 的 盈 利 为 股 息 ， 但 永 科 控 股 （ AEM Holdings） 若 无 法 全 面 收 购 CEI， 那 些 不 接 受 永 科 献 议 的 CEI股 东 ， 并 不 能 指 望 继 续 获 得 高 股 息 。
新 加 坡 证 券 投 资 者 协 会 （ SIAS） 会 长 大 卫 · 杰 乐 （ David Gerald） 在 昨 天 发 表 评 论 ， 提 出 上 述 看 法 。
他 指 出 ， 在 3月 19日 ， 永 科 控 股 已 掌 控 CEI超 过 一 半 股 权 ， 意 味 着 CEI已 经 是 永 科 的 子 公 司 。 永 科 也 已 表 明 将 在 4月 19日 的 CEI常 年 股 东 大 会 上 对 后 者 的 股 息 决 议 案 投 反 对 票 。
永 科 控 股 是 在 1月 11日 宣 布 以 9970万 元 或 每 股 1.15元 ， 向 CEI公 司 提 出 全 面 收 购 。
他 指 出 ， 由 于 永 科 至 今 已 掌 控 CEI的 81.7%股 权 ， 这 意 味 着 CEI董 事 会 提 议 今 年 派 发 每 股 0.4分 的 年 终 股 息 ， 以 及 每 股 2.6分 的 特 别 股 息 &ldquo 将 不 会 发 生 &rdquo 。

永 科 控 股 上 周 一 （ 5日 ） 发 表 文 告 表 示 ， 它 相 信 保 留 现 金 以 资 助 业 务 扩 充 和 优 化 营 业 需 要 ， 符 合 股 东 的 最 佳 利 益 。 如 果 它 支 持 CEI派 发 股 息 ， 将 会 相 应 把 收 购 价 下 调 到 每 股 1.12元 。 大 卫 · 杰 乐 指 出 ， 永 科 控 股 的 股 息 政 策 ， 是 派 发 不 少 于 25％ 的 合 并 盈 利 。
他 提 醒 投 资 者 应 该 考 虑 在 4月 26日 收 购 献 议 截 止 后 可 能 出 现 的 两 个 不 同 情 况 。

I have a few lots of this.
What happens if I don't accept the offer ?
CEI prices have dropped as AEM price has dropped due to the 15% and 30% option to convert to AEM shares.
However surprising that after dividends were announced, the process dropped further, now at 1.16, close to the offer price of 1.15. Is AEM' s offer less any dividends to be paid? Could not find this statement in the offer letter.
Any forumers can help clarify this matter?

Yes, I am. It has been returning a very decent return both in dividends and capital growth. Temasek owned.
