PROFIT GUIDANCE FOR THE FINANCIAL YEAR ENDED 31 DECEMBER 2025
The board of directors (the " Board" ) of Clearbridge Health Limited (the " Company" and together with its subsidiaries, the " Group" ) wishes to announce that, following a preliminary review of the Group&rsquo s unaudited financial results for the financial year ended 31 December 2025 (" FY2025" ) and based on information currently available to the Board, the Group is expected to report a significantly higher net loss for FY2025, mainly attributable to:
the additional impairment of goodwill recognised for FY2025. The impairment was made based on the preliminary assessment of the current value-in-use of the relevant cash generating units, which was determined by discounting the pre-tax future cash flows to be generated from the continued use of the cash generating units, as compared to of the current carrying value of the cash generating units recorded in the balance sheet. As a result, there is also a significant impairment recorded for the Company&rsquo s investment in its subsidiaries and
the fair value loss of the convertible exchangeable bonds recognised for FY2025, which arose as a result of a decrease in equity value of the bond issuer derived from the discounted cashflow projections which had been adjusted due to lower-than-expected performance by the bond issuer in FY2025.
The above impairment of goodwill and fair value loss are non-cash items.
The Company is still in the process of finalising its financial results for FY2025 and will provide further details of the Group&rsquo s financial performance when it releases the unaudited financial results on or before 1 March 2026. Shareholders and potential inventors are advised to exercise caution when dealing in the shares of the Company. Persons who are in doubt as to the action they should take should consult their stockbrokers, bankers, solicitors, accountants or other professional advisers.
