Even their current substantial shareholder is selling his shares bit by bit almost everyday, as long as is above 0.40... think abit hard for this stock to perform unless solid performance from them after the acquisition

Unless otherwise defined, all terms used herein shall bear the same meaning as in the Company' s announcement dated 27 April 2017 and 25 September 2017. 1. The Board of Directors (the " Board" ) of the Company (and together with its subsidiaries, the " Group" ) refer to the following announcements: (a) its announcement on 27 April 2017 in relation to the Proposed Acquisition (b) its announcements on 25 September 2017 and 28 September 2017 in relation to the entry into the Supplemental Agreement to amend the terms of the SPA and (c) its announcement on 23 November 2017 in relation to the Final Purchase Consideration. 2. The Board is pleased to announce that the Proposed Acquisition has been completed on 27 November 2017 and the Sale Company is now a wholly-owned subsidiary of the Company. 3. The Final Purchase Consideration of S$180 million for the Proposed Acquisition is fully satisfied by way of allotment and issue of an aggregate of 4,500,000,000 Consideration Shares to the Vendor. Following the allotment and issue of the Consideration Shares, the total number of issued Shares in the Company has increased from 1,163,816,419 Shares to 5,663,816,419 Shares. The Consideration Shares rank pari passu in all respects with, and carry all rights similar to, the existing Shares. 4. As stated in the Company' s circular to shareholders dated 29 September 2017, the Consideration Shares shall be subject to the Vendor' s moratorium undertaking that the Vendor will not for the period commencing from 27 November 2017 to 26 May 2018 (being six months from Completion), directly or indirectly offer, sell, contract to sell, assign, transfer, pledge, grant any option to purchase, grant any security over, encumber or otherwise directly or indirectly constitute or be deemed as a disposal or realisation of any part of its interest in any of its Shares in the Company including the Consideration Shares issued to it.
