- Group entered into a sales and purchase agreement (&ldquo SPA&rdquo ) with Great Winner Holdings Limited (the &ldquo Vendor&rdquo ) for the proposed acquisition of 100% of Billion Credit Financial Company Limited (the &ldquo Target&rdquo ) for HK$5.8 million
Singapore, September 28, 2021 &ndash Incredible Holdings Ltd. (&ldquo Incredible&rdquo or &ldquo the Group&rdquo ), which is in the electronics industry distribution, luxury goods trading and loan financing business, is pleased to announce that it had signed a SPA with the Vendor to enter into a proposed earnings-accretive acquisition of 100% of the Target for HK$5.8 million (equivalent to S$1.0 million). Operating in Hong Kong as a private limited company since 2012, the Target is in the business of providing loans mainly to individuals who provide assets e.g. properties as collateral. For the financial year ended 31 December 2020 (&ldquo FY2020&rdquo ), the Target generated HK$155,000 in net profit after tax. Based on an independent valuation report by Peak Vision Appraisals Limited on 27 September 2021, the Target had a market value of HK$4.73 million.1

The Board of Directors (&ldquo Board&rdquo ) of Ntegrator International Ltd. (&ldquo Company&rdquo ) refers to the announcement made by the Company on 29 April 2021 (the &ldquo Response to SGX Queries&rdquo ) in relation to the response to the queries raised by the Singapore Exchange Securities Trading Limited. Subsequent to the Response to SGX Queries, MWL has, on 29 April 2021 evening, brought to the attention of the Company that they had notified the Company on MWL' s becoming a substantial shareholder via email on 21 April 2021 and on a change of its shareholding via email on 22 April 2021. The Company has checked its email server log and noted that there were incoming emails from email address of the authorised person of the MWL on 21 April 2021 and 22 April 2021. Due to technical problem, both emails were not directed to the email mailbox of the intended recipient ([email protected]). The Company is not able identify the cause of the technical problem. The Company has retrieved the relevant emails from its email server backups. According to the notification on 21 April 2021, MWL' s shareholding in the Company had increased from 4.96% to 6.09%, and therefore, becoming a substantial shareholder of the Company. According to the notification on 22 April 2021, MWL' s shareholding had increased from 6.09% to 8.51%. Based on the emails retrieved, the Company will make the necessary announcements on the disclosure of interest and change of interest. The Company would also like to revise the response to the Query 2 in the Response to SGX Queries in a separate announcement as follows: SGX Query 2: In the Company FY2020 Annual report (announced on 6 April 2021), it was stated that &ldquo there is no substantial shareholder named in the Register of Substantial Shareholders of the Company&rdquo as at 16 March 21. There was no announcement on the change of substantial shareholder interest prior to yesterday&rsquo s announcement. &bull When did Mission Well become a shareholder and substantial shareholder of the Company? &bull When did the Company know about Mission Well becoming a substantial shareholder?Company&rsquo s Response to Query 2: Based on the Form 3 attached to the email on 21 April 2021, MWL became a substantial shareholder of the Company on 19 April 2021. The Company is not able to confirm when MWL became a shareholder of the Company. The Company learned that MWL becoming a substantial shareholder of the Company on 23 April 2021 after receiving the third email from MWL on the change of interest of MWL from 8.51% to 10.53%. As stated above, the emails on 21 April 2021 and 22 April 2021 were not directed to the email mailbox of the intended recipient notwithstanding they arrived at the Company' s email server. This is a struggle of power between Ntegrator old management and new investment fund plus old shareholders. Current management over the years did not carry their responsiblities and just drawing high salary the soldi voting 30/70 indicate a change urgently need to be apply , these old management no new idea and business model look terrible, a change of mangement will bring new life to Ntegrator why not.....sgx sure no objection .
Now the mission well is major share holder of ntegrator, asking for EGM to kick out current directors
