Clearly when the controlling shareholder owns 90% that is a fair question to ask.
The problem is in such a scenario the 90% shareholder' s interest is so obviously in conflict with the 10% minorities. And the 90% also controls the company itself, so do you trust them to run the company in a way that benefits the 10% given they want to buy the 10%?
