The management of the company has elected to recieve the special dividend, and then will exchange their shares in PEC with shares in the acquiring company.

If they declare special dividend than they will take back the cash portion so LPPL lah finally only 64c take over plus cash 20c if got declare dividend than take back the cash 20c....
