Ezion to sell subsidiary and tug vessels for US$83.7m
EZION Holdings is divesting two towing tugs along with its entire stake in its wholly-owned subsidiary Teras Sunrise for a total of US$83.7 million to ZhongXie Industrial, a marine logistic services provider based in Hong Kong.
According to an exchange filing late on Tuesday night, the offshore and marine player signed a share purchase agreement to sell Teras Sunrise for US$80.2 million. This is expected to result in a US$13.1 million gain on disposal.
Ezion also inked two memorandums of agreement to dispose of towing tugs Teras Darius and Teras Eden for a cash consideration of about US$1.7 million each, to result in an estimated collective loss on disposal of US$117,500 for the group.
The entire consideration received from the sale of its two tug vessels will be used to repay Ezion' s secured bank loans, while most of Teras Sunrise' s sale consideration will be used for the partial repayment of the subsidiary' s debt to DBS.
Ezion said the disposal of its subsidiary and the vessels is in line with its ongoing restructuring, and will allow the group to stop incurring further operating costs and liabilities.
The partial repayment of its secured loans will also reduce the group' s outstanding liabilities, it added.
On a pro forma basis, the disposals would have lowered Ezion' s net liabilities per share as at end-2020 to 36.46 US cents from 36.8 cents, assuming that the transactions took effect on Dec 31, 2020 and resulted in proceeds of US$83.7 million.
Basic earnings per share and diluted earnings per share for the year ended Dec 31, 2020 would have narrowed to a loss per share of 13.1 US cents from 13.51 US cents had the disposals been effected on Jan 1, 2020.
Trading in Ezion shares has been voluntarily suspended since March 2019.

Ezion sells vessels and subsidiary Teras Sunrise for US$83.7 mil
Ezion Holdings has signed agreements to dispose of its 100% effective interest in subsidiary Teras Sunrise for US$80.2 million ($108.51 million) as well as two towing tugs for US$3.46 million.
Teras Sunrise, which owns a liftboat of the same name, along with the two towing tugs " Teras Darius" and " Teras Eden" , are being sold to ZhongXie (HK) Industrial Company, a Hong Kong-incorporated marine logistics firm.
According to Ezion' s filing to the Singapore Exchange on July 13, the consideration from the two towing tugs will be in cash and utilised to repay the secured bank loans of the group.
For Teras Sunrise, $100,000 of the consideration shall be for the purchase of the sale shares, and the remaining US$80.1 million shall be used for the partial repayment of the debt owed by Teras Sunrise to DBS Bank.
According to Ezion, the disposals are in line with its restructuring plan previously announced on June 20, and to will allow the group to stop incurring further operating costs and liabilities. The group will also reduce its outstanding liabilities via the partial repayment of the secured bank loan.
Ezion is expected to recognise a loss of US$58,750 each on Teras Darius and Teras Eden, as well as a gain of US$13.1 million on the sale shares.
Shares in Ezion closed flat at 4.3 cents on July 13.

are they still here, if i not wrong, many jumped in when Ezion was suspended and reopen, with news that Temasek was taking a stack . if ah kon willing to lend a hand here, they shd help krisenergy too. Oil leh.

pacific radiance and ezion should consolidate to take advantage of the rising oil price. hope the management can rationalize and stay rationale since oil price will keep moving up
