Final price means Final price. Is there another way to interpret unless there is another competitive offer which is impossible. Life has to move on even if the price is not the most transparent.

" For each Offer Share: S$0.55 in cash (the &ldquo Final Offer Price&rdquo ) As stated in the Offer Revision Announcement, the Offeror does not intend to revise the Final Offer Price. As stated in the Offer Revision Announcement, Shareholders who have earlier validly accepted the Offer are entitled to receive the Final Offer Price, subject to the Offer becoming or being declared to be unconditional in all respects in accordance with its terms. Accordingly, no further action in respect of the Offer is required to be taken by Shareholders who have already validly accepted the Offer. "

Offer close 14th May, if cannot get 90% by then, at most they can extend closing date. They wont raise offer price anymore.
Cash will be received within 7 working days of offer turning unconditional/valid receipt of offer acceptance from shareholder(whichever is later). Those who want to wait only get money later lor.

tginvestment      ( Date: 28-Apr-2018 21:45) Posted:

That is possible.
So don' t send in the form. Then they got no choice, force them to revise to $0.60.

ysh2006      ( Date: 28-Apr-2018 10:23) Posted:

As at 25 Apr it hold only 82.5%....This two days high volume maybe can get 84% already...hope by 14 May Tat Hong revised one more time to 60c and extend another 14 days to complete the GO!

As stated in 2.7 (b) of the Offer Document:

(b) Offer to Remain Open for 14 Days after Being Declared Unconditional as to Acceptances

Pursuant to Rule 22.6 of the Code, if the Offer becomes or is declared to be unconditional as to acceptances, the Offer will remain open for acceptance for not less than 14 days after the date on which it would otherwise have closed, in order to give those Shareholders who have not accepted the Offer the opportunity to do so. This requirement does not apply if, before the Offer becomes or is declared to be unconditional as to acceptances, the Offeror has given notice in writing to the Shareholders at least 14 days before the specified Closing Date that the Offer will not be open for acceptance beyond that date, provided that such notice may not be given, or if already given, shall not be capable of being enforced in a competitive situation. If a declaration that the Offer is unconditional as to acceptances is confirmed in accordance with paragraph 2.1 of Appendix VI to this Offer Document, such 14-day period referred to in Rule 22.6 of the Code will run from the date of such confirmation (if given) or the date on which the Offer would otherwise have expired, whichever is later.

Yes, either they take 100% or they remain as it is.
Got 14 days for you to act if confirmed, more than enough time to act.
The owner is more worried that you are not selling to them.

Hi...i was told by my broker, if the company manage to acculmate 90%....they can don' t offer the exit offer of 50 cents to those refuse to accept their offer intially.
SGX does not protect the rest 10% shareholder and their money is stuck with the company after go private.
i have the prospectus and didn' t see any exit offer for those refuse to accept their offer.

Don' t know to do  sad

tginvestment      ( Date: 17-Apr-2018 12:01) Posted:

The offer will turn into unconditional only if it hits 90%.
If it did not hits 90%, the offer will lapses. Everything remain as usual before.
If it hits 90%, the offer will become unconditional, shareholders have 14 days to accept the offer.
Those sharesholders who did not accept, their shares will be compulsory acquisited.

Anyway, if you are not happy with the price, you can wait till it turn unconditional then you accept the offer

Does that mean even if you dont agree to sell, if they manage to get above 90% of the shares, they will automatically just take your shares and pay you 50 cents/lot? Is that what they mean by unconditional offer?
