ENTRY INTO LOAN AGREEMENT WITH SOLAR FOUNDERS LIMITED

1. INTRODUCTION The board of directors (the &ldquo Board&rdquo ) of MMP Resources Limited (the &ldquo Company&rdquo , together with its subsidiaries, the &ldquo Group&rdquo ) wishes to announce that the Company has on 10 December 2018 entered into a loan agreement (the &ldquo Loan Agreement&rdquo ) with Solar Founders Limited (the &ldquo Lender&rdquo ) in connection with the grant of a loan of S$120,000 to the Company (the &ldquo Loan&rdquo ).

2. INFORMATION ON THE LENDER AND RATIONALE FOR THE LOAN

The Lender is a private company limited by shares incorporated in Cayman Island. The Lender holds 29% of the shares in the issued and paid-up share capital of Alliance Brands Limited which in turns holds all the shares in the issued and paid-up share capital of Operation Alliance Global Limited. As at the date of this announcement, the Lender, Alliance Brands Limited and Operation Alliance Global Limited do not hold any shares in the Company. As at the date of this announcement, the director of the Company, Jason N Block, holds 25% of the interests in the Lender. The remaining 75% interests in the Lender are held by Christopher Michael Peck , Marzio Keiling and Clay Kinney, in equal proportions. The aforesaid director, Jason N Block, is also the shareholders of Maiora Asset Management Pte. Ltd., holding 25% of the issued share capital of Maiora Asset Management Pte. Ltd. (excluding treasury shares). Maiora Asset Management Pte. Ltd. is a registered fund management company based in Singapore, and manages Maiora Asian Structured Finance Segregated Portfolio, a controlling shareholder of the Company.   

The Company&rsquo s entry into the Loan Agreement is beneficial to the Company and will help finance the Group&rsquo s working capital and current operations.

3. DETAILS OF THE LOAN

The salient terms of the Loan Agreement are set out below:-

Interest
The Loan shall bear interest at 18% per annum and can be paid in kind or in cash.

Repayment
The Loan and all accrued interest is payable on demand. 

However, if the Company has not received any written notice from the Lender for repayment of the Loan and all accrued interest (the &ldquo Lender&rsquo s Payment Notice&rdquo ) by the first anniversary of the Advance Date, the Company is enttiled to repay the Loan and all accrued interest, in full or part thereof, on the first anniversary of the Advance Date by providing written notice to the Lender (the &ldquo Borrower&rsquo s Payment Notice&rdquo ). The Loan and any acrued interests may be repaid by the Company either (a) in cash, or (b) by way of the issuance and allotment of such number of shares in the Company, at a 10% discount to the average closing price of shares in the Company for the 2 trading days prior to the date of Borrower&rsquo s Payment Notice or the Lender&rsquo s Payment Notice (as the case may be). For the purposes herein, &ldquo Advance Date&rdquo means such date when the Loan is disbursed to the Company. The issuance and allotment of shares in the Company as repayment of the Loan and accrued interests under the Loan Agreement is subject to the Company having received the relevant shareholders&rsquo approval and / or the approval of the Singapore Exchange Securities Trading Limited (the &ldquo SGX-ST&rdquo ), where required under the applicable laws including the Listing Manual of the SGXST.
