Market sentiments have not affected Dyna-Mac with the $0.67 offer from HW.

Today' s announcement is that HW has up their stake to 29.29% following another 15 mil shares picked up.
They have mantioned that this holding excludes those acceptance received - we just don' t know what' s the acceptance level so far.
With another 2 weeks to go before 6 Nov and at the rate HW is mopping up shares from open market, they can likely hit the 50.1% required.

Really depends. Market sentiments have been quite bad recently. It has been a sea of red on the SGX. I don' t think DM will be spared the bloodshed if the market chooses to crash. We easily shift from greed to fear, especially when there are rumors of war and bad times ahead.
Stay cautious.

19 mil done at 0.665 is a sure sign of gap up tmr. Main force will be happy to gobble up whatever sales tmr..perhaps capped at 0.67 unless it is alternate force

Looks like 9m warrants expired today, what a waste.

Seems like the market has determined that Dynamac has had enough capital injected. No need for more capital and shares anymore. Good for the company and shareholders.

Love the tussle & drama unfold. One thing quite sure is DM is at least worth 67c now. I see no harm if it were to remain listed with Hanwa & Estate as largest shareholder. I jusrt ride along. Hopefully, there will be more offers from others. Wonder DM any synergy with Seatrium? Maybe Seatrium can join in the fun?
Vested.

It appears to me that HW did a rush job to make an offer. They could have slowly accumulated more when it was trading around 0.40 cts. It could be linked to new developments around their US navy contracts or there could be more to it. I suspect the "growth poential" is under priced by market. I regret to stumble this gem rather late as i was holdibg alot with Beng Kuang from 7 series up. Now I have cleared all in BK and planning to load more DM in coming days. It is a much bigger gem. The next results would be strong indicator. Trade with care and dyodd. Vested

HW may prolong the game by extending the offer until next year. Retailers without holding power may just throw in and HW will get above 50%.

Winsmallsmall      ( Date: 22-Oct-2024 16:47) Posted:

It could be the Estate just contented with their shares. Not looking to change their % holding much.

So long HW give a fair price to shareholders and it is up to HW whether it can gain > 50% when time is up.

HW bought mother shares from KC without buying the warrants. KC sold the bonus warrants in the open market. Conversion is 150 per warrant to mother share. Every 5 shares entited to 1 bonus warrant.

Interesting to note that warrant exercise allows Estate to sell shares at market higher price and yet they exercised warrant and got new shares at 0.15 cts pricing. They are raising funds and also increase their holdings.

HW shares do not come with warrants?

mysterytrade      ( Date: 22-Oct-2024 16:01) Posted:

Having poured in so much resources, HW won' t be contented to just own DM shares and not have controlling power... I hope the management / estate is cautious of that ... and do not keep on releasing shares for others to gobble. also the fact that many may sell their shares to  the HW offer offline. This may explain why the shares is hard to cross the offer price of 67 or even reach and stay there. I' m with majority and feel that this company is valuable so will be quite sad if this SG gem is eaten up...

Also, when Estate converts the warrants, they indirectly reduces HW holdings by diluting the masses.
Cheaper for Estate to convert warrants versus HW needing to buy at 665.

When HW bought the shares from Keppel, they did not come with warrants.
Keppel sold the warrants in the open market.

Retailers that are not united cant do much. Only can look to Estate for direction. If Estate gives up and contented with 670, not much that the rest can do. If DM is not delisted, may be still can buy HW shares.

In a hostile takeover scenario, without the major SH (who owns more than 1/3 of the company) irrevocable undertaking and blessing, the bid is highly untenable. HW simply has to pay the compelling control premium to succeed in their bid or else just walk away.

Look around, .. MS never takes more than 5% stake as part of its investment strategy due to regulatory and activist concerns.   The exception is when MS is acting on behalf of specific clients.   So there is a hidden hand and no, MS doesn' t have to disclose unless asked by MAS/SGX.

mysterytrade      ( Date: 21-Oct-2024 23:20) Posted:

If d unknown force behind MS backs HW, they are very close to the target 50.1%
