In connection with the Proposed Rights Issue,
Xinlong Investment Holding Limited (&ldquo Xinlong&rdquo ), a substantial shareholder, has provided the Company with an irrevocable undertaking (&ldquo Irrevocable Undertaking&rdquo ) pursuant to which it has undertaken to the Company to, inter alia: (a) accept, subscribe and pay for all its entitlements to the Rights Shares based on its existing shareholding as at the date of the Irrevocable Undertaking and

(b) make excess application(s) to effectively take up any and all Rights Shares which are not validly subscribed and/or applied for at the close of the Proposed Rights Issue after satisfaction of all valid applications and excess applications (if any) for the Rights Shares

Questions Received from Shareholders
1. Shareholder A &ndash As there was a change in Company&rsquo s business activities, please explain
what are the Company&rsquo s current businesses?
The Chairman referred Shareholder A to the Company&rsquo s Annual Report on the disclosure in relation
to the Company&rsquo s current businesses and informed Shareholder A that the Company&rsquo s current
businesses include the provision of human resource, labour outsourcing related services,
infrastructure management services and food distribution service in People&rsquo s Republic of China
(&ldquo PRC&rdquo ). He added that the publishing and money-lending businesses have been disposed of by
the Company.
Mr. Yang Li, the Executive and Strategy Director of the Company elaborated to Shareholder A that
the human resources services provided by Company in PRC are provided mainly to government
agencies, financial institutions, and state-owned enterprises (&ldquo SOE&rdquo ).
2. Shareholder A &ndash What are Company&rsquo s plans for the future?
The Chairman replied that the Company&rsquo s future plan is to grow the human resources management
businesses with the SOE clients in China.

 

This one is interesting. It has a strong China shareholder called Dong Ling Electrical Group Co Ltd  which came in to take a 20.75% stake comprising 193,799,000 shares at $0.01494 last year.

Dong Ling is within the Conglomerates which manufactures and sell home appliances in China
