(昆 山 恒 捷 化 工 科 技 有 限 公 司 ) (the &ldquo Purchaser&rdquo ) in respect of the sale of 100% of the registered capital in Amly Chemicals Co. Ltd. (安 力 化 学 (泰 兴 )有 限 公 ) (&ldquo ACL&rdquo ) to the Purchaser for a cash consideration of RMB50,000,000 (the &ldquo Consideration&rdquo ) (the &ldquo Proposed Disposal&rdquo ). The purchase consideration was arrived on a willing buyer willing seller basis after taking into consideration the financial information of ACL. Upon completion of the Proposed Disposal, ACL will cease to be a subsidiary of the Company.
