FULFILLMENT OF YEAR 1 PROFIT GUARANTEE IN RELATION TO THE ACQUISITION OF THE
ENTIRE SHARE CAPITAL OF VICTORY HILL EXHIBITIONS PTE. LTD.
Unless otherwise defined, all capitalised terms shall bear the same meaning as in the Company&rsquo s
announcements dated 2 April 2015, 2 June 2015, 20 August 2015 and 30 September 2015 (the
&ldquo Announcements&rdquo ) and the Circular to Shareholders dated 5 August 2015 (&ldquo Circular&rdquo ) in relation to
the acquisition of the entire share capital of Victory Hill Exhibitions Pte. Ltd. (the &ldquo Acquisition&rdquo ).
The Board of Directors (the " Board" ) of Cityneon Holdings Limited (the " Company" ) refers to the
Announcements and Circular in relation to the Acquisition.
As set out in the Announcements and Circular, the Vendor has provided a Year 1 Profit Guarantee to
the Company and to secure the performance of such Year 1 Profit Guarantee, Escrow Shares
(comprising 14,000,000 ordinary shares in the Company) that formed part of the Consideration
Shares for the Acquisition were deposited with UOB Kay Hian Private Limited as the custodian for the
Escrow Shares.
The Board is pleased to announce that the Year 1 Profit Guarantee pursuant to the terms of the SPA
has been met. Accordingly, the Company has released the Escrow Shares and made the Deferred
Payment in cash to the Vendor in accordance with the terms of the SPA.

From market depth, very few sellers after 1.01 (as of now). If 1.01 resistance breaks, price may go crazy...
been holding on and accumulating since 0.88...finally cross 1.00 mark

I am keeping this one, this coming October the Science Centre Singapore (SCS) will host the Marvel AVENGERS S.T.A.T.I.O.N. exhibition.
This should give it another boost I am pretty sure. Worth to hold on to this.
Avenger station in LV just won a Gold Award, due to stong visitors' visit and feedback. New licensing biz seems to be moving in good traction.
