Hanwha and Estate of Lim Family already owned 59% of DM. CEO owns 1%++ of DM, so total already 60%. Left 40% to grab.

Hanwha buys Keppel&rsquo s Dyna-Mac stake
In another significant insider transaction this past week, Keppel sold off its entire chunk of 250 million shares or 23.91% stake in Dyna-Mac Holdings  NO4  1.25%  for 40 cents each, or $100 million in total, to two entities under Korea&rsquo s Hanwha Group, known for its shipbuilding business.


Keppel first invested in Dyna-Mac back in 2011 at 35 cents each. Since then, Keppel has exited the offshore and marine business to focus on being a global asset manager while divesting offshore and marine legacy assets which are deemed non-core.

Two Hanwha entities were used to buy over the Dyna-Mac shares from Keppel. Hanwha Ocean acquired 225 million shares for $90 million while Hanwha Aerospace acquired the remaining 25 million shares for $10 million.

According to a May 13 regulatory filing, before buying Keppel&rsquo s stake, Hanwha Ocean held about 16.43 million Dyna-Mac shares or a 1.57% stake while Hanwha Aerospace also held a similar level of shares. As Hanwha Aerospace owns a 23.14% stake in Hanwha Ocean, the Dyna-Mac shares held by Hanwha Ocean are of deemed interest to Hanwha Aerospace, giving it a total interest of 282.86 million shares, or 27.05%.

Dyna-Mac&rsquo s single largest shareholding bloc of 334.2 million shares, or 31.96%, remains in the hands of the estate of the late founder and CEO Desmond Lim Tze Jong.

In his May 13 note, Maybank Securities&rsquo Jarick Seet has maintained his &ldquo buy&rdquo call and 46 cents target price on Dyna-Mac. Seet believes that Hanwha and Dyna-Mac could form a synergistic partnership where both parties could benefit from the booming FPSO (floating production storage and offloading) space. &ldquo Hanwha Ocean&rsquo s investment also represents firm confirmation by one of the industry&rsquo s largest players of Dyna-Mac&rsquo s value and potential,&rdquo he adds. Dyna-Mac&rsquo s order book now stands at around $896 million, with deliveries stretching to 2026.

Hanwha buys Keppel&rsquo s Dyna-Mac stake

My own view is that Hanwha will not be just a 27% SH, but will offer to buy over when the time is right.

Exactly what I am doing...although just a little at a time.

I am favouring the warrants now as i believe the move up will be more rewarding.
Yes, it is true that the number of warrants is already fixed and i also believe most of them are being locked up.

There will still be trading of the warrnt daily - although the vol is dwindling.
Day traders will buy/sell for the day.
However when the crunch comes, the upward move will be great...assuming of course that the mother shares move up - which is likely the case.

So there is less fear of short sellers for the warrant.

Watch and stay the course.

The Offshore & Marine Sector is very strong and along with that Energy Equipment and Services companies are booming now.
The likes of BK, Mermaid, Dyna-Mac,  Kim Heng etc are moving up nicely.

Today BK and Mermaid really jumped.
I am guessing Dyna and Kim Heng will be pushed up.

Very BIG plan and DM is already identified to provide some of the technologies that they wanted i.e. they can acquire the technologies by buying the technologies from DM or to buy over DM to make DM its susidiary.

Hanwha Aerospace and Hanwha Ocean jointly develop &lsquo marine hydrogen fuel cell&rsquo .

Hanwha Aerospace and Hanwha Ocean  are embarking on joint research and development  (R& D) on hydrogen fuel cells to target the eco-friendly ship market  .    The plan is to actively enter the global eco-friendly ship market with a &lsquo   zero  &ndash   carbon ship solution&rsquo   that leverages the eco-friendly technology synergy of both companies  . 

Hanwha Aerospace is the research and development organization responsible for the &ldquo Development of a fuel cell power pack for ships of  200 kW or higher&rdquo   among the new    R& D tasks  in the hydrogen fuel cell field of the 1st Energy Technology Development Project of  2024  hosted    by  the Ministry of Trade, Industry and Energy and exclusively managed by the Korea Institute of Energy Technology Evaluation and Planning.  It was announced on    the 24th  that it had been selected  .

Based on the technology developed for the aviation hydrogen fuel cell system, Hanwha Aerospace received high scores in ▲ development of high-efficiency and high-durability hydrogen fuel cells suitable for the marine environment ▲ commercialization plan through onshore and offshore verification  .

As a joint research institute, Hanwha Ocean plans to comprehensively review information related to the operation of ships using marine hydrogen fuel cells to derive optimal operation plans  .

Previously, in order to target the eco-friendly ship market, where demand is expected to rapidly increase due to &lsquo eco-friendly technology synergy&rsquo , the two companies decided to develop    MWh (  megawatt hour  )  that can be applied to large ships such as liquefied natural gas carriers  (LNGCs) and    very large crude oil carriers  (VLCCs).    jointly developed  a class-leading energy storage system  (ESS)  .

Seunghak Moon,  head of Hanwha Aerospace&rsquo s Electric Propulsion System Division, said:


We plan to expand the technology we have secured through the development of aviation hydrogen fuel cells to the marine sector.


&ldquo   With  the synergy of clean marine technology with Hanwha Ocean, we will create the world&rsquo s best marine hydrogen fuel cell.&rdquo &ldquo We will develop and provide a &lsquo carbon-free shipping solution,&rsquo &rdquo he said  .

Kim Hyeong-seok,  head of Hanwha Ocean&rsquo s Product Strategy Technology Center, said:


By launching the industry&rsquo s first carbon-free large ship using the large-capacity, high-efficiency.
