Just so all are aware.
At the Keppel Business Update session held on 24 April 2024, the question was asked whether Keppel intend to covert the warrant or sell the Dyna Mac Warrants.
The answer : Dyna Mac warrant sold already.
Go check out the transcript of the business update session.

There is very little free float of the warrant left.

That' s the million dollar question.
What happened to Keppel' s 50 mil warrants?
- Maybe Keppel have already sold in the open market
- Maybe Keppel sold it to Hanwha separately, but did not disclose since those are not shares.
-.....
(Feel free to speculate)

Hi Bro, you are right that the amount paid is excluding the warrants. So, the entitlement of 50 millions warrants had gone to Hanwha or still with Keppel ?

If go to Hanwha, this implies that it had paid 0.25 for each warrant i.e. 0.40 (mother) - 0.15 (conversion price) =0.25, still have some premium over present warrant price of 0.22.

Thank you for pointing out.

I think people are willing to pay premium for warrants starting from now on in view of the no. of free float warrants around and the potential of taking over by Hanwha and conversion time is getting nearer.

With 250 millions cash in DM coffer and around a billion dollar order book, what is the fair price per share if Hanwha wants to take it private or continue to be listed ???

Not many free float warrants around !!! Some bought by the CEO earlier and make so much profits !!! LO

My take is that Hanwha will not just be happy being a major shareholder. It will most probably increase its shareholding and may take over the whole DM. Hanwha is a very aggressive company. If other major share holder like Estate of Lim want to hold on to the company, it has to quickly buy up all the free float warrants !!!

Very sorry for the wrong amount of shares sold to Hanwha by Keppel. It should be 250millions mothers and the 100 millions paid is excluding the warrants.

Bro Eagle88, from where did you get the info that Hanwha bought 200K mother and 50K son ah?

Eagle88      ( Date: 24-May-2024 14:18) Posted:

Mother 0.43 200,000,000.00 86,000,000.00
Son 0.28 50,000,000.00 14,000,000.00
    100,000,000.00

Based on my AI calculations for the price that Hanwha bought from Keppel of 250millions DM shares (50 millions of these are warrants that need to be converted to mother shares when due by paying 0.15 per warrant), the price that Hanwha paid for mother is 0.43 and son is 0.28.

There' s very high premium paid for the son by Hanwha. The present son' s price is still at a premium of .28/0.22 = 27% to that paid by Hanwha.

SO, it is still very cheap to buy at 0.22 for warrant if you consider the price that Hanwha paid for the warrant at 0.28 Cents !!!

Based on the announcement made earlier when Keppel sold all the 250million shares to Hanwha, there' s no more shares or warrants under Keppel. What happened to the warrants entitled to Keppel ???

Hi Eagle88, from Dyna-mac Substantial Shareholder disribution, Keppel had 250 mil shares. And Keppel sold all 250 mil shares to Hanwha at 100 mil SGD.
So I am not sure if the calculation is accurate by splitting 200 mil shares + 50 mil warrants.

If that is the case, then buy the warrants and convert to mother shares.

You are right if there' s no body interested to convert the warrants into mother during the conversion period.

Based on the current situation of Hanwha bought the mother and sons from Keppel and Hanwha may buy up all the free float warrants in the market, it is very2 unlikely that the warrants will not be taken up by holders !!!

The son has higher percentage of premium than mother for the price that Hanwha paid !!! Buy son is more worthwhile as it is limited edition and major SH must get hold of the warrants in order to maintain their share holding !!!

Eagle88      ( Date: 24-May-2024 14:28) Posted:

If based on the price that Hanwha is willing to pay for mother and son to Keppel, it is very willing to pay the same if not higher for the balance of the shares and warrants that it is still not holding i.e. 0.43 for mother and 0.28 for the son !!!

Eagle88      ( Date: 24-May-2024 14:23) Posted:

Very high chance that Hanwha will increase its share holding by buying more warrants and willing to pay 0.28 per warrant in order to get the mothers !!! Once it has crossed 30% of the shares, it has to offer to buy the rest of DM shares !!! HUAT LIAO !!
