There is a conflict of interest..selling to a director the entire business at below book value?   why director wants to buy at below Book value? Must be able to make money right?   In that case why is director not sharing ideas with co to turn it around and why Co wants to sell?

why go into gold when there are no previous experience?...rather long learning curve and where is the justification for this investment?
