INTRODUCTION The board of directors (the " Board" ) of NauticAWT Limited (the " Company" ) refers to the Company' s announcement dated 11 March 2021 (" Previous Announcement" ) in relation to the quarterly update of milestones in obtaining a new business. Where capitalised terms are used in this announcement and are not otherwise defined, such capitalised terms shall bear the same meanings as ascribed to them in the Previous Announcement. 2. UPDATE ANNOUNCEMENT 2.1 The Company wishes to update the shareholders that it has received outcome on the preclearance application submitted to SGX-ST. Taking into consideration several factors including the regulatory requirements that impose a restriction to the distribution of profits as dividends, hence affecting the viability and growth potential of the potential target initially identified (&ldquo Target&rdquo ), the proposed acquisition of the Target is unable to satisfy the SGX-ST&rsquo s requirements for a new listing. Accordingly, the Company will not proceed with the acquisition of the Target. 2.2 The Company will be exploring other suitable businesses for acquisition which is able to satisfy the requirements of the SGX-ST for a new listing in order to lift its cash company status by 10 December 2021. 3. CAUTIONARY STATEMENT The Board wishes to remind Shareholders that there is no assurance that the SGX-ST will not suspend the trading and listing of the Shares or that the Company will be able to acquire a business that meets the SGX-ST&rsquo s requirements for a new listing within the timeframe prescribed by the SGX-ST.
