I bought in 2008 at $7.80 cents and   rights issue at $1.30 cents.

Current offer price is like paying 90 cts for $1   ,   bullying the retail investors as always the case.

The NAV of Keppeland is   S$4.95 ,

Would SIAS chairman stand up for the retail shareholder to fight for a more reasonable price ?

In US,   the remaining shareholder would engage lawyer to demand higher price.

In this case, there is many conflict of interest.....

Unlike other privatization offers which offers a singular price, it general opens at offer price or slightly below. But in case of Keppel land, there is a tikam element to bet on addl payout. So risk premium will be given to base price to bet on this $4.60 outcome

if you submit acceptance for the offer, Keppel will pay you at least $4.38. But if it crosses 90%, all shareholders will be given $4.60 as addl reward. So doesn't matter when you submit so long as it crosses 90%, you will get $4.60. If not, you will get base $4.38 and Keppel land will continue to be listed entity.
Likely share price will open above $4.38. Eg..If you buy $4.40, you can still get addl 20c if it crosses 90%. Worst case, you lose 2c . So market will pay a premium to base $4.38. How much more?? We shall see tmr. But expect higher than $4.38. Any lower, just close eye buy..

They will activate compulsory acquisition and pay you 4.60.

What are the risks of not accepting Kep Corp' s offer?

What if one does not want to sell the Kepland shares even after Kep Corp' s attains 90% ownership?

If acceptance levels exceed the 90 per cent threshold, turning the offer into a compulsory acquisition, the offer price would be raised to S$4.60 per share - a 31 per cent premium over the one-month value weighted average price.

Keppel Corp will have the right to receive any distribution that may be declared, paid or made by Keppel Land on or after the purchase date. As an illustration, assuming that the settlement date falls after the books closure date for a S$0.14 dividend per share that has been proposed, the offer price received by the accepting shareholder will then be $4.24 and S$4.46 based on the base offer price and the higher offer price respectively.

Yes i think so. Market should have factored in the 14cents, or it should be interpreted as 4.60 will be inclusive of the 14cents div.

I think i read it somewhere if the offer closed after book closure, the revised offer price will be 4.24 and 4.46 respectively.

Is this right?

Goldfinger      ( Date: 23-Jan-2015 23:16) Posted:

Think also have to factor in the 14cts final dividend into the selling price if disposing?

retsel      ( Date: 23-Jan-2015 21:11) Posted:

I see. So it means if we accept selling to kepcorp, u wil get at least $4.38 per lot, possibly $4.60 subject to 90% selling ?

My guess is that Monday price will then be $4.40-4.50

Keppel Corp. will offer a minimum of $4.38 per share and in the event it gets 90 percent of the developer, the offer price will be raised to $4.60 a share.

If  most of the retailers  don' t sell....it will  never hit the 90%.....and you will not get $4.60.

For those who accept the offer price at $ 4.38 earlier....when it gets 90% .... the offer price will be raised to $4.60 a share.

ie the offer price will be raised to $4.60 a share finally when it hits 90% .....all will get $ 4.60 .....it doesn' t  matter either you accept it at $ 4.38 or $ 4.60
