The Straits Trading Company Limited Shareholders&rsquo Club
1. Purpose
-
1.1 These are the terms and conditions (the &ldquo Terms&rdquo ) governing the membership of The Straits Trading
Company Limited&rsquo s (&ldquo STC&rdquo ) shareholders&rsquo club (the &ldquo Club&rdquo ). -
1.2 The Club, which is free and open to all shareholders of STC who meet the membership conditions set out below (" Shareholders" ), aims to provide its members (&ldquo Club Members&rdquo ) with better access to information about STC&rsquo s activities and strategy, as well as a wide array of special events and privileges, including:-
(a) access to investment opportunities -
(b) invitations to networking sessions at which Club Members can meet established business leaders, the STC management team and other like-minded investors -
(c) invitations to industry talks by reputable speakers covering an array of topics, aimed to equip Club Members with a better understanding of the real estate industry and broader perspectives and insights on investing -
(d) real-time access to information relating to STC, including Shareholders&rsquo News, press releases and meeting invitations -
(e) access to exclusive content for Club Members including webinars, market commentary, articles, and products of collaborations with third-party platforms and -
(f) invitations to special events and trips.

1.3 Notwithstanding Clause 1.2 above, Straits Trading Shareholders Club Pte Ltd (&ldquo Straits Trading Shareholders Club&rdquo ) reserves the right to limit the offering of any benefits or privileges to specified categories of Club Members, such as natural persons. -
1.4 Club Members will not be offered access to any information the provision of which would be in breach of any applicable laws, regulations or guidelines, including but not limited to the listing rules of the Singapore Exchange Securities Trading Limited, such as any price-sensitive information likely to influence prices of its securities. -
1.5 Straits Trading Shareholders Club reserves the right to modify these Terms and any privileges and/or services offered to Club Members at any time. Club Members are obliged to keep themselves updated as to any changes to these Terms on the website (https://shareholdersclub.sg/).

1.6 All communications issued by the Club are in English only. All publications (e.g. Shareholders&rsquo News, press releases, commentaries and articles) issued by the Club are in electronic format only.
2. Membership Conditions

2.1 Membership of the Club is open to all shareholders of STC who:-
(a) in respect of natural persons, are at least 18 years old -
(b) each hold at least 100 shares in STC and -
(c) have a valid e-mail address.

2.2 Membership of the Club is voluntary and free. -
2.3 In the case of jointly-held shares, both the main and joint applicants reflected in the application to SGX for the joint securities account are entitled to apply for membership in the Club and benefit from the privileges and services offered by the Club.
3. Registration Procedure and Duration of Membership

3.1 To apply to be a Club Member, Shareholders must complete the application accessible on the website at https://shareholdersclub.sg/. -
3.2 To satisfy the membership conditions set out in these Terms, Shareholders who purchased their shares in STC through the CPF Investment Scheme, the Supplementary Retirement Scheme or depository agents must also submit proof of ownership of shares in STC (by way of the latest statement of account from the custodian bank or depository agent, as applicable, or such other manner of proof as may be specified by Straits Trading Shareholders Club). -
3.3 Straits Trading Shareholders Club reserves the right to request for additional information or documents in order to verify share ownership. -
3.4 Upon receipt of the completed application and the submission of all relevant documents, Straits Trading Shareholders Club will confirm receipt of the application for the membership and confirm the outcome of the application and the effective date of the membership (where applicable). -
3.5 The membership remains valid for as long as the relevant Club Member satisfies the membership conditions, until the membership is cancelled or terminated.
4. Termination of Membership

4.1 Any Club Member who no longer satisfies the membership conditions must notify Straits Trading Shareholders Club immediately in writing by post or email, at the details provided below. -
4.2 Straits Trading Shareholders Club reserves the right to terminate the membership of any Club Member who no longer satisfies the membership conditions (including Club Members whose declaration of ownership of STC shares is found to be false or inaccurate), or who displays reprehensible conduct at any point in time during the course of the membership.
5. Events

5.1 By joining the Club, Club Members authorise their photographs or video recordings being taken at events organised by the Club, to be used in materials published by the Club. -
5.2 Straits Trading Shareholders Club reserves the right to suspend or cancel any events or impose any restrictive measures as may be required at such events. -
5.3 For events with limited capacity, Straits Trading Shareholders Club will decide on the criteria for selection of Club Members and Straits Trading Shareholders Club&rsquo s decision on the Club Members selected for participation is final. -
5.4 Straits Trading Shareholders Club reserves the right to impose any conditions for participating in events organised by the Club, including the right to refuse the participation of anyone under 18 years of age.

7.1 For the purposes of these Terms,
(a) &ldquo Privacy Statement&rdquo means this Clause 7 of these Terms and
(b) &ldquo Personal Data&rdquo means any information, whether recorded in a material form or not, from which the identity of an individual is apparent or can be reasonably and directly ascertained by the entity holding the information, or when put together with other information would directly, indirectly and certainly identify an individual. -
7.2 By joining the Club, Club Members acknowledge and agree that they have read and understood the Privacy Statement, and Club Members agree to the terms of the Privacy Statement as may be amended by Straits Trading Shareholders Club from time to time. -
7.3 By joining the Club, Club Members consent to Straits Trading Shareholders Club collecting, using, disclosing, transferring and/or processing Personal Data for the activities of the Club, including:-
(a) to verify, process or manage any identity or request to join the Club -
(b) for Straits Trading Shareholders Club&rsquo s internal administrative and analytics purposes, including data analysis and database records -
(c) for Straits Trading Shareholders Club to comply with any applicable laws, regulations, guidelines or notices issued by any government or regulatory authority (whether in Singapore or overseas)

(d) to respond to questions, comments and feedback of the Club Members -
(e) to communicate with Club Members in relation to their membership of the Club, including to enable the Club to circulate documents and information (such as those relating to investment opportunities) or extend benefits, privileges and exclusive offers to Club Members and -
(f) any other purpose relating to the Club&rsquo s activities and/or services.

7.4 By joining the Club, each Club Member represents and warrants to Straits Trading Shareholders Club that the Personal Data that the Club Member will be providing or has provided is complete, true and accurate. -
7.5 Club Members consent to Straits Trading Shareholders Club transferring or exporting, whether locally or overseas, the Personal Data to third parties for or in connection with any of the purposes described herein, in accordance with all applicable data protection laws and regulations. Club Members further consent to Straits Trading Shareholders Club sharing their Personal Data with financial institutions in relation to investment products and opportunities. -
7.6 Where provided for under applicable laws, regulations or guidelines, a Club Member may at any time communicate in writing:-
(a) the withdrawal of his/her consent to the continued use, disclosure and/or processing of his/her Personal Data which is in the possession of Straits Trading Shareholders Club. However, if the Club Member communicates such withdrawal, Straits Trading Shareholders Club will terminate the Club Member&rsquo s membership in the event that such withdrawal results in the provision of all services and privileges no longer being feasible -
(b) a request to amend or update his/her Personal Data -
(c) a request to obtain a copy of his/her Personal Data which Straits Trading Shareholders Club has collected, or enquire about the ways in which the Personal Data has been used, disclosed, stored or processed by Straits Trading Shareholders Club. Straits Trading Shareholders Club reserves a right to charge an administrative fee for retrieving a Club Member&rsquo s Personal Data records (which will be communicated to the Club Member before processing the Club Member&rsquo s request).

7.7 Straits Trading Shareholders Club may retain, use, disclose and process your Personal Data for any of the purposes referred to in this Privacy Statement, where permitted under any applicable law.
8. Governing Law and Dispute Resolution

8.1 In the event of any dispute arising out of or in connection with these Terms, the dispute shall first be referred to mediation administered by the Singapore Mediation Centre and no party shall proceed to arbitration or any other form of dispute resolution unless the parties have made reasonable, good faith efforts to resolve the same through the mediation. -
8.2 A party who receives a notice for mediation from the other party shall consent and participate in the mediation process in accordance with Clause 8.1.

8.3 Where the parties are not able to resolve the dispute through mediation, the dispute shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force. The tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English. Straits Trading Shareholders Club shall have the right to seek interim injunctive relief or other interim relief from a court of competent jurisdiction at any time up until the arbitral tribunal has made its final award.
