If successful, then shdn' t have much downside, right.  I mean if a firm offer is made at => 45.2 can' t envisage huge unloading below that, can we?

Judging from the current sentiment, there is more potential on the downside as compared to going north, be it successful or unsuccessful on the takeover.....

Ha ha. This mess is a reflection of the kind of talents we have inside Temasek.

It is shameful and is the reason why they need to sell this mess away quickly, to save their own skins.

Why buy at this stage ? No comfirm deal that is what they announced, see on 31 dec deal done or not than decides...Think China side would not raise price ..High risk little return trade ...

Now CO-INVESTMENT AGREEMENT is out @ SGX! But Company that buys has only capital of 660 Mio U$! Any clue?

In this current climate, it might be a bit hard due to low takeover price. The price per share is low and it seems like this counter doesn't have much bargaining power

But who provides more finances to Bidco (" entity carrying out the Proposed Acquisition" ) when it already gets shareholder loan? Who finances gap of 120 Mio US$ when ownership structure is already defined?

" Under the Co-investment Agreement, Holdco A and the IC Fund will make a total capital
contribution of the RMB equivalent of US$510 million and US$10 million respectively to
subscribe for, respectively, 98.08% and 1.92% equity interest in Holdco B.
In addition, the IC Fund is committed to providing Holdco B with a shareholder&rsquo s loan of
US$140 million and is entitled, at any time after the third anniversary of the date on which
Bidco becomes a shareholder of STATS ChipPAC, to convert its shareholder&rsquo s loan into the
equity of Holdco B in accordance with the Co-investment Agreement.
Bidco was established as a wholly-owned subsidiary of Holdco B and will be the entity
carrying out the Proposed Acquisition
(if and when the Proposed Acquisition proceeds)."

Theres rumors of DBS or other banks in talks to provide refinancing of existing debt meaning if the Singapore side gets refinanced, the chinese wont have to come up with $1b usd. Now this low ball offer by the chinese is very shrewd by maintaining the pretence of not buying and no obligatory offer(where in fact they are quite desperate to get foreign tech and networking to side step western technology transfers restrictions) and the implicit max possible offer price from the $660usd financing(still in discussion). I have to highlight the fact that this is just wishful thinking from the chinese side alone that Singapore is dumb enough to sell their state of the art semi conductor plant for a song below bookvalue at the worst possible time since inception after investing heavily building up a strong foundation. Do not forget OLAM saga. Investment for the long term is always the objective. Its always in the interest of asset managers to maintain a high asset price under management , it is more likely a high offer is made to inflated market prices with the excuse of long term investment than instead of realizing paper losses in which managers will have to be held accountable directly. Do not forget stats spent much to absorb the Thailand flood losses, restructure and close the malaysia plant and almost a billion to finish their state of the art Korea plant which is possibly due next yearend and thereafter the revenue spike from new orders will come and cost will come down. What is possible is that the talks will fails and the stock fall back to 31c support, This i believe is in the best interest of Singapore to solicit decent offers or just to keep it for the turn around just round the corner.
