Aztech minority shareholders

Ok its working now.

In brief after Aztech delisted early this year, an AGM was called on 18Jul. Normal event, just standard resolutions were proposed and subsequently approved.

Aztech is now calling for an EGM on 25th Aug to approve their proposal for a " Selective Capital Reduction" via a " Special Resolution" . If the resolution is approved by 75% of minority shareholders (total no of shareholders around 5.5K), it effectively take every minority shareholder out without any other choice.

The offer circular of 165 pages is not easy for many of us to understand. Presumbly many will just ignore & skip (which I used to do until now).  I am here to share with other Aztech minority shareholders that if they wish to continue keeping their shares in Aztech(unlisted public company), they must vote against the proposal  (no other option). They can either vote by attending the EGM or by Proxy.

U shd ask those who die die dun want to sell and decided to keep their Aztech as paper cert as unlisted company how is their Aztech shares as a non listed company now??

If I am related to the Muns, I would be happy to the heaven. I am just ur average person who managed to learn from the share market after trading/investing for many years. Taking CK Tang for example. In 2009, those ppl who had sold their CK Tang shares and had invested in other shares would have huat big big liao. Imagine those who had sold CK Tang in 2009 and bought other shares CHEAP (bear market during 2009), they would have earn a few times over  their capital already as bull run was from 2011 to 2014 and they should have already sold and profited must be laughing to the bank. Compared this to those minority shareholders who are still holding on to their stock today. They cant sell and they miss out the 2012-2014 bull run. Fast forward to 2020, imagine this scenario. Those who sell Aztech and buy say eg: Ezra now cheap at 4 cents. Their 4 cents will become 40 cents when bull run arrives in the year 2020. Those who insist of holding on to their Aztech will still be stuck with their Aztech shares in the year 2020, missing out on the next bull run. Just my humble opinion. I am not vested in Aztech and I am not linked in anyway to the Muns.

this is not privatisation per se..

this delisting is done through what is known as a scheme of arrangements..

minimum 75% approval required..those who do not take up offer..now you have become shareholders of a private coy..

i dun know.. some maybe really listened to advice here by some ppl  and thinking that the Muns cant take it private without 90% or  or keeping paper scripts will make huge profit next time..

U let us know what happens to ur paper scripts  next year..

Last yr one counter call Starland taken private I saw this counter so many months still listed and trading in market and at times even trade higher than RTO price....

 

SGX no law one...rule say need 90% and must complusory buy the rest of minority shares but Sgx don't enforce let majority bully us ... next time 50% can go private no need to care the other holders loh...no law Sgx...

The company is now a private company. They dun have to follow any rules set by SGX. So basically the Muns are now the " SGX" . They control everything. AGM EGM i dun think they are obliged to having one for the small shareholders, they will just mail u the financial report if they are kind enough.
