LHN's logistics arm to be spun off, will raise S$5 million through IPO
☆ 》 LHN Logistics lodged its final offer document on Tuesday (Apr 19) as its parent company, property player LHN Group : 41O -1.49%, looks to spin off and list its logistics arm. Through the initial public offering (IPO), LHN Logistics will raise approximately S$5 million through the listing of (25,238,000 placement shares at S$0.20 each.)
☆ 》 The net proceeds will amount to approximately S$3.6 million, after deducting the estimated listing expenses payable in cash by the company.
☆ 》 S$3.2 million of the net proceeds will go towards the partial financing of the construction of the company&rsquo s ISO tank depot at 7 Gul Avenue, while the remainder will go towards the expansion of the company 's transportation fleet and acquisition of moving equipment.
☆ 》 Based on the placement price and post-placement share capital of 167,678,800 shares, the newly-listed company will have a market capitalisation of S$33.5 million.
☆ 》 The earnings per share of the group based on the company's post-placement share capital will amount to S$0.0198, while its share price will be 10.1 times that of its earnings in FY2021.
☆ 》 The company's adjusted net asset value (NAV) per share, including adjustments for the estimated net proceeds from the allotment and issue of placement shares and based on the post-placement share capital of 167,678,800 shares, stands at S$0.0957.
☆ 》 Upon completion of the placement, LHN will remain a controlling shareholder with approximately 84.1 per cent of the post-placement issued share capital.

Sasseur REIT (CRPU ) owns a portfolio of four outlet malls in Chongqing, Kunming and Hefei. Its market capitalisation is $1.0b, making it the 2nd-largest China-focused S-REIT.
☆ 》 Its FY2021 results, its rental income amounted to $127.5 million, about 10% higher than FY2020. Its DPU also rose 8.5% to $0.07104.

KTL Global to acquire Tuas industrial property for S$6m expands into distribution. ☆ 》 Entered into a non-binding memorandum of understanding with Warehouse Logistics Net Asia.
☆ 》 Property is currently being leased by Singapore e-commerce platform Ebuy, a distributor of fresh produce in Singapore that KTL is acquiring 51 per cent.
☆ 》 Industrial property has a remaining lease of seven years. KTL intends to submit a request to JTC Corporation for a lease extension.
☆ 》 Ebuy distributes fresh produce to food service providers, retailers, restaurants and hotels. With its fulfilment centre, it has built up its own logistics supply chain network with a fleet of delivery vehicles, KTL said.
☆ 》 Group's executive director Chin Teck Oon said property acquisition will provide strong foundation and efficient supply for KTL's fresh produce and consumer goods business activities.
☆ 》 This will enable us to better serve a larger customer base with a wider range of consumer products that we aim to import, market and distribute in Singapore," he added.

Dasin Retail Trust signs MOU for potential divestment of 2 malls
 
THE trustee-manager of Dasin Retail Trust on Sunday (Mar 20) announced that it has entered into a non-binding memorandum of understanding (MOU) for the potential divestment of 2 of its retail properties - Shiqi Metro Mall and Xiaolan Metro Mall.
 
Net proceeds from the sale of the properties are expected to be used to repay the trust' s existing syndicated loans, with the remainder to be used for working capital purposes.
 
Shiqi Metro Mall and Xiaolan Metro Mall were valued at 2.81 billion yuan (S$599.6 million) and 2.02 billion yuan respectively as at Dec 31, 2021.
 
Sino-Ocean Capital, a substantial unitholder of the trust via its affiliate, will jointly manage the purchaser, buyout fund Wuhu Yuanche Bisheng Investment Center, with GSUM Real Estate Fund Management Co.
 
The affiliate, Glory Class Ventures, holds approximately 6.3 per cent of Dasin Retail Trust as at Mar 18.
 
Dasin Retail Trust said the MOU does not restrict the trustee-manager from soliciting higher or otherwise better offers by other third parties.
 
The Singapore-listed real estate investment trust (S-Reit) currently holds 7 retail properties in its portfolio.

Nutryfarm appoints new executive chairman
 
NUTRYFARM International has appointed Wu Yongqiang as its new executive chairman. It has also redesignated former chief executive officer (CEO) and chairman Terence Luk Chung Po as non-executive director. The appointments are effective on Tuesday (Mar 8).
 
Wu - who is concurrently KTL Global' s non-executive chairman - has been a substantial shareholder of Nutryfarm since Jun 30, 2021. He owns a 13.97 per cent stake in the durian and health foods distributor as at Wednesday, the company said in a bourse filing.
 
It added that Wu had written to the company on Dec 27, 2021, to consider his appointment to its board as a non-independent and non-executive director, as well as on Mar 4, to consider appointing him as executive chairman.
 
In the second letter, Wu provided certain additional information and documents, including an investigation report dated Jan 10 issued by a law firm in China.
 
Wu had requested the board to consider his appointment as executive chairman because of " certain key relevant material events or developments that have transpired" between the time of Wu' s first letter and his second. This includes the redesignation of roles and responsibilities of former CEO Luk and another executive director.

Corpbond Loans will expire, Mar-2022 to Nov-2022, and the Company has been in discussions with Corpbond to explore the possibility of restructuring the Corpbond Loans into convertible bonds with a new maturity date beyond 2022 (' Possible Restructuring of the Corpbond Loans' ). Such discussions, if successful, will enable the maturity date of the Corpbond Loans to be extended???.
