(Incorporated in the Republic of Singapore) (Company Registration No. 198003839Z) PROPOSED PLACEMENTS OF UP TO 1,330,000,000 NEW ORDINARY SHARES IN THE CAPITAL OF EMERGING TOWNS & CITIES SINGAPORE LTD. 1. INTRODUCTION 1.1. The Board of Directors (&ldquo Board&rdquo or &ldquo Directors&rdquo ) of Emerging Towns & Cities Singapore Ltd. (the &ldquo Company&rdquo , and together with its subsidiaries, the &ldquo Group&rdquo ) wishes to announce that the Company has entered into share subscription agreements dated 13 January 2021 (each a &ldquo Subscription Agreement&rdquo and collectively, the &ldquo Subscription Agreements&rdquo ) with HS Global Group Limited and Nextcore Asset Management Limited respectively (each a &ldquo Subscriber&rdquo and collectively, the &ldquo Subscribers&rdquo ), pursuant to which the Subscribers have agreed to subscribe for up to an aggregate of 1,330,000,000 new ordinary shares (the &ldquo Subscription Shares&rdquo ) at a price of S$0.03 (the &ldquo Issue Price&rdquo ) for each Subscription Share (the &ldquo Placements&rdquo ), amounting to an aggregate consideration of S$39,900,000 (the &ldquo Subscription Consideration&rdquo ), in the following proportion: Name of Subscriber No. of Subscription Shares to be allotted / (as a percentage of the total Subscription Shares) The Subscription Shares as a percentage of the Enlarged Share Capital (as defined below) HS Global Group Limited 680,000,000 (51.1%) 28.7% Nextcore Asset Management Limited 650,000,000 (48.9%) 27.5% 1.2. The Issue Price per Subscription Share under each Subscription Agreement shall be a price of S$0.03 for each Subscription Share. 1.3. The Issue Price of S$0.03 for each Subscription Share represents a premium of approximately 25.0% to the volume weighted average price of S$0.024 of the Company&rsquo s ordinary shares (&ldquo Shares&rdquo ) for trades done on the Singapore Exchange Securities Trading Limited (&ldquo SGX-ST&rdquo ) for the full market day on 17 December 2020 (being the last trading day on which Shares were traded before trading in the Shares was halted after market close on 21 December 2020). The Issue Price was agreed upon following arm&rsquo s length negotiations between the Subscribers and the Company. 1.4. The Subscription Agreements are independent and not inter-conditional.
