Due diligence ends today(do we really have to wait till the last day if there is any decision) 3 scenario that might happen 1)extension of due diligence 2)deal called off 3)proceed with a halt and a offer (although with the kind of price ytd) I doubt it' s something good from a neutral point of view i have already exited this stock |

There' s a lot of selling, there' s buying too. It' s how retailers read the situation Only time will tell. I seriously doubt funds are involved in this counter. It' s retailers all the way. Remember I said before price goes up and down in a day with the same kind of magnitude like three to four times or more? Uncertainty causes such abberations. I don advocate buy or sell. for those who are still in UE UE E& C ($1.25, unchanged) will be suspended given that private equity fi rm Southern Capital has garnered 92.61% of the company, thus allowing them to exercise the compulsory acquisition option (which they have said they will do). Minority shareholders who have not accepted their offer will thus be &ldquo forced&rdquo to sell their shares to them at $1.25. UE E& C has been a rewarding recommendation for us, given that it has risen 54% in capital value since our initial buy recommendation in Aug&rsquo 13 (when it was 81 cents/share). The company has also distributed dividends worth another 7 cents (5 cents normal and 2 cents special) in 2Q&rsquo 14, increasing the absolute return to a solid 63%, signifi cantly outperforming the market&rsquo s 5% gain over the same period. Our last recommendation (given last month) was to &ldquo sell&rdquo the stock at $1.30/share given that the key management team (CEO Chua Hock Tong) and major shareholder (United Engineers) sold their combined 73% stake at $1.25 and Southern Capital said that they will not revise their $1.25 offer price higher. We recommend minority shareholders to switch from UE E& C to United Engineers given an imminent offer from TCC Corp. UE has been consistently disposing assets in the past 2 years from UE Bizhub East, UE E& C, Wearnes Automotive, MFS Tech&rsquo s core PCB business and recently several plots of land in China. We note that price to book range for their disposals were at a minimum of 1x (MFS Tech and land in China) to a maximum of 2x (for UE Bizhub East), with an average of about 1.5x. (UE&rsquo s last reported NTA as at end Sept&rsquo 14 was $2.83/share, but consensus RNAV estimate is closer to $3.60/share and its end Dec&rsquo 14 book value is estimated to be $2.92/share) |
