ecoWise EGM ' voluntarily postponed'

SHAREHOLDERS who had called for an extraordinary general meeting (EGM) to remove the deputy chief executive at strife-hit ecoWise Holdings have " voluntarily postponed" the meeting, which was to have been held on Friday (Nov 26).

This comes after the company' s deputy chief executive Cao Shixuan applied for another injunction before Singapore' s High Court against the convening of the meeting.

ecoWise' s board said in a bourse filing on Friday that the company' s founder and CEO Lee Thiam Seng, who is among the shareholders calling for the EGM, had on Friday informed the board of the postponement.

The relevant shareholders are to inform the company of the new date and time of the EGM.

The board had filed an update on Nov 24, saying Cao had filed an injunction application via his lawyers on Nov 12. The outcome was unknown at that point, but the board said then that it was " unable to give further information as to when or whether the EGM will take place" .

The resolutions to be tabled at the EGM include the removal of Cao as director of the company and " for all necessary steps to be taken to remove him from all appointments with the company, its subsidiaries and its associated and investee companies" .

Shareholders' earlier call for another EGM, for the same purpose, was brought to an end after the High Court in August granted an interim injunction against the meeting.

No certainty that ecoWise' s EGM can convene after deputy CEO' s new injunction application

STRIFE-HIT ecoWise Holdings' deputy chief executive Cao Shixuan has applied for another injunction before Singapore' s High Court against the convening of an extraordinary general meeting (EGM) to remove him from his post.

The outcome of the application is unknown at this point, but ecoWise' s board of directors is " unable to give further information as to when or whether the EGM will take place" , it said in a bourse filing on Wednesday (Nov 24).

Cao' s injunction application was filed through his lawyers at CNPLaw on Nov 12.

Shareholders' earlier call for an EGM, for the same purpose, was brought to an end after the High Court in August granted an interim injunction of the meeting.

Fourteen shareholders - holding over 118 million ecoWise shares or approximately 12.5 per cent of the total number of the company' s paid-up shares - then called for another EGM, in a notice dated Oct 22.

The resolutions to be tabled at this EGM include the removal of Cao as director of the company and " for all necessary steps to be taken to remove him from all appointments with the company, its subsidiaries and its associated and investee companies" .

In ecoWise' s most recent bourse filing on Nov 24, it reiterated that the said shareholders " do not have any faith, trust and/or confidence in (Cao' s) ability and intention to act in the best interests of the company, its shareholders and/or creditors" .

In response to queries from Singapore Exchange Regulation (SGX RegCo), ecoWise noted that the relevant shareholders have not clarified their plans for the company, notwithstanding the company' s queries about their plans.

In particular, chief executive Lee Thiam Seng, who has been involved in a publicised tussle with Cao, had responded that he is " not required to disclose his plans for the company, in his capacity as a shareholder calling for an extraordinary general meeting" , the board said.

In response to SGX RegCo' s queries on the rationale for appointing 3 additional directors to the board, Lee, via his solicitors, told the company these appointments were " intended to not only add fresh perspective but also to further stabilise the board" .

" The majority of the board (3 out of 5 directors) are presently embroiled in ongoing litigation against each other in the Singapore High Court, with the company named by Cao as a defendant," he had said.

Good Day to All ecowise Shareholder,

I&rsquo m sure all of you have seen all the news and announcement make by the CEO and the company.

Hereby I&rsquo m the employee, of the company and shareholder would like to voice out and hope other Minority shareholder and investor can stand up and defend our right and money.

This CEO Mr. Lee never involve in any operation since the day 1, I joined the company (I have been with this company more than 10 years, I' m purchasing the company share see a good vision who leads MR Richie), Mr Lee only comes to the office one a while, mostly talking how to plant the tree and flower only.

Mr Richie grows the company very good in this 5/6 year. Develop new product and new investment.
I did get info from my Malaysia Colleagues saying currently the Malaysia group is led by MR Phang with guide by Mr Richie the sales now are grown high sky and order are lining up till next year March, and keep coming. Malaysia group all in organizes and doing very well, no like SG here lots of staff have resigned due to the unstable status create by Mr Lee.

I really can&rsquo t figure out why Mr Lee keep planning to remove Mr Richie out of the office without reason, with all cost may cause the company delist.

The only thing I can foresee is Mr Lee has a personal agenda like selling the company and CASH out for himself.

So I urge all shareholders to think wisely, don&rsquo t let this kind no responsible person take over the company and burn our money. Mr Lee should vote out from the board too.
If this Lee removes out Mr Richie sure he will remove other senior staff like last time and will make chaos in the group.

Now all of us is suffering from the covid, we hope the company share lifts up from the suspend and grow up.
