Further to the announcement on 30 March 2018, the Manager would like to update unitholders that they are at an advanced stage of discussions with the VIT Managers on the Proposed Merger. In light of the progress made by both parties on the proposed transaction, the Manager and the VIT Managers have agreed to extend the period of exclusivity to the earlier of (a) the date of execution of a definitive implementation agreement between the parties in relation to the Scheme, and (b) 15 May 2018 (or such other date as the VIT Managers and the Manager may agree in writing). |

Im prepare to lugi abit aka at disadvantage abit when swapping with Viva.. short term pain = long term gain... Maybe exchange ESR with Viva at 54 cents (ESR)  to 92 to 95  cents (Viva). compared to last trade of 53 cents vs 89 cents Short term may seem unfair but must look at long term..

Bro, the EGM will not be so soon one.. usually the EGM will be held 1 or 2 mths later. U will receive the circular first.. u have plenty of time to slowly digest the information one.. and 100% sure got ppl will come to this forum to discuss one. I will be the first one here to discuss. We can discuss in this forum whether is worth it for u? for me? shd we vote for it or not etc... Cheers

Will be setting a very unhealthy precedent to announce merger a day after releasing financial result announcement. Minority unit holders will not have ample time to evaluate. SGX must safe guard minority interest.

(1)Financial numbers are there. Can't be massaged to make it swee swee. No reason to delay financial result release. Dpu must be declared and scheduled for payout. This is a reit and not a coy that can withhold dividend payout.
(2)Share swap is either NAV or Yield based can be negotiated till cow comes home. Item (1) & (2) should be mutually exclusive. SGX must ensure proper process are followed.

Anyway I do hope u support this merger because is a win-win for both set of shareholders if they can successful merge to form the 4th largest industrial reits. Is like Westham merge with Newcaster to form a bigger club with more $$$ and more fans, then can afford to attract better players and coach/manager and then become the top 4 team and then challenge manchester clubs for top spot. So if merger successful, ESR-Viva due to it' s 4th largest reit status can attract more investors, more institutional funds  and better tenants and thus higher rental  and allows it to expand and challenge for the top spot.

ESR is the acquirer. Viva is the acquired. So ESR is doing due diligence on Viva. Is like buyer is ESR and seller is Viva. So Viva has to prepare properly it' s financial status/statement for the buyer to make decision. So onus is on Viva to prepare a detailed concise report, that why maybe Viva is the busier party. Think Viva prepare swee swee liao, then ESR will tell Viva : " based on ur NTA financial status given to us.. we offer xxx ESR shares for xxx of ur shares. How? agree?" So Viva is more busy lo.. Is like u wan to renovate ur house, u engage an interior designer. The ID will prepare all the quotation, all the design etc.. U job is to bargain and then pay up. So ur ID is the one that is more busy. So Viva has to prepare nicely the financial statement for ESR to offer. Then up to Viva to decide liao.. Think when Viva annouce the financial results , the next day will be the annoucement of the merger.
