May 31, 2004 12:01 am ETSingapore' s second-largest lender by assets said Temasek' s revised cash offer of S$2.26 (US$1.33) a share, or S$780 million (US$459.2 million), for 49% of United Overseas Land Ltd. was still too low -- despite its being 10% higher than Temasek' s initial offer of S$2.06 a share. " The board, in consultation with its financial adviser, decided to continue to consider all options that might be available to UOB in relation to its shareholding in UOL," UOB said. In response, Temasek spokeswoman Rachel Lin said " we note the UOB announcement" and decline to comment further.
Analysts said they weren' t surprised that UOB Chairman and Chief Executive Wee Cho Yaw and his board decided to snub Temasek' s bid after UOL said it decided to explore ways to " unlock shareholder value." UOL said Tuesday that it has formed a committee of directors to find ways of improving shareholder value at UOL and said for the first time that Temasek' s offer was lower than its revised book value of S$3.31 a share. And they expect the billionaire Mr. Wee will want to keep control over UOL for a grip on the UOB group. Mr. Wee, who also serves as the chairman of UOL' s board, commands 21% of UOB through direct and indirect stakes held in various companies, including UOL. That could drop to 17% if UOL is sold to Temasek. UOL likely will be exploring ways to unlock the value of its UOB stake, analysts suggested, by either initiating a share buyback with UOB or selling its 4% UOB stake to institutional investors and then returning around S$1 billion in proceeds to UOL shareholders -- both of which will prevent Temasek from garnering the prized stake. UOB' s own financial adviser, Credit Suisse First Boston, has been assigned to come up with ways to sell UOL but hasn' t made its plans public. Analysts said the bank may opt to give UOB shareholders UOL stock in a share distribution, in the same way it gave out Haw Par Corp. shares in December 2002. SINGAPORE, Jan 14 (Reuters) - UOL Group UTOS.SI, a property firm controlled by United Overseas Bank UOBH.SI Chairman Wee Cho Yaw, on Wednesday offered to buy United Industrial Corp (UIC) UICS.SI in a deal that values UIC around S$1.6 billion ($1.08 billion). UOL, which currently controls 30.2 percent of UIC, will pay S$1.20 for every UIC share it does not own, according to a filing on the Singapore Exchange. That represents a premium of 9.1 percent over UIC&rsquo s last traded price of S$1.10 a share. The shares were suspended earlier Wednesday. &ldquo Do I see that happening in other companies? Yes. If you know the intrinsic value of your assets, which has been grossly undervalued in the market, you could acquire those assets,&rdquo he said. Shares in UIC, which is part-owned by the Wee family, have fallen from a 12-month high of S$3.17 in June last year. UOL owns various properties in Singapore, Malaysia, China, Australia and Myanmar as well as the firm that manages the Pan Pacific hotel chain. Its current market capitalisation is around S$1.75 billion. UIC' s main asset is its 72.4 percent stake in another listed company called Singapore Land (SingLand) SLND.SI, which owns various office and retail properties including Singapore' s Marina Square shopping mall. According to UOL, it will be required to make an offer for SingLand at S$3.57 a share if or when its offer for UIC becomes unconditional.
