(the " Company" , and together with its subsidiaries, the " Group" ) is pleased to announce that its indirect 60%-owned subsidiary, Eastern Dental Centre Pte. Ltd. (" Purchaser" ) has on 17 March 2022, entered into three (3) conditional sale and purchase agreements (collectively, the " SPAs" ) in respect of the acquisition of the business of Eastern Dental Surgery (Jurong West Branch) (&ldquo JW Clinic&rdquo ), Eastern Dental Surgery (Bukit Batok Branch) (&ldquo BB Clinic&rdquo ) and Eastern Dental Surgery (Jurong East Branch) (&ldquo JE Clinic&rdquo ) respectively (collectively, the &ldquo Eastern Dental Surgery Group&rdquo and each a &ldquo Target Clinic&rdquo ), as a going concern. The SPAs were entered into with the respective Sellers (as defined below) for a total cash consideration of S$1,256,500 (" Purchase Consideration" ), upon the terms and subject to the conditions of the respective SPAs (" Proposed Acquisition" ).

(the &ldquo Company&rdquo , and together with its subsidiaries, &ldquo Group&rdquo ) would like to update that on 3 March 2022, the Company&rsquo s wholly owned subsidiaries, TriReme Singapore Pte Ltd (&ldquo TriReme Singapore&rdquo ) and Quattro Vascular Pte Ltd (&ldquo Quattro&rdquo ) has responded to the statement of counterclaims made by InnoRa GmbH (&ldquo InnoRa&rdquo ) with the American Arbitration Association&rsquo s San Francisco regional office on 10 February 2022. The arbitration process is still in the early stages with discovery process to commence this month. The arbitration hearing is scheduled for January 2023 with the decision on the award of the claims made by TriReme Singapore and Quattro and the counterclaims made by InnoRa presently anticipated to be made within 2 months after the arbitration hearing. The Company will update the Shareholders as and when there are any material updates to the aforementioned arbitration, including its financial effects on the Group for the financial year ending 31 December 2023. It is in their interest to see the share price stable at around 0.005 to 0006 cents than to plunge to 0.001 cents. These investors are ultimately business professionals not fool hardy gamblers.
