http://infopub.sgx.com/FileOpen/Casa_Annmt_on_Proposed_Acquisition_of_Land.ashx?App=Announcement& FileID=299495 PROPOSED ACQUISITION OF TWO LOTS OF LAND IN MALAYSIA THROUGH THE ACQUISITION OF TWO COMPANIES Board of Directors of Casa Holdings Limited, and together with its subsidiaries, (the Group) wishes to announce that the Group through its subsidiary, Casa Property Holdings Pte Ltd. (Casa SG), is entering into two (2) joint venture agreements (JVAs) with LSK Development Sdn Bhd (LSK Development), Mr Lim Soo Kong, and Seleksi Mewah Sdn Bhd (SM) to subscribe to the shares of the following companies (a) Fantastic Modern Sdn. Bhd. (Fantastic Modern) and (b) Genius Chamber Sdn. Bhd. (Genius Chamber). Fantastic Modern and Genius Chamber (collectively, the JV Cos) will allot and issue a total of 998 shares at RM 1 each to Casa SG, LSK Development, Mr Lim Soo Kong and SM. Both companies are incorporated in M' sia with paid-up share capital of RM2 each. The existing shareholders of Fantastic Modern and Genius Chamber, Mr Lim Ah Sian@ Lim Tan Chai and Mr Shia Alak, will then sell their entire shareholding in Fantastic Modern and Genius Chamber to SM. Upon completion of the above, the 1,000 shares in each of the JV Cos will be held in the following proportions: Shareholder Percentage shareholding Casa SG : 34.3% Mr Lim Soo Kong : 14.7% LSK Development : 6.0% SM : 45.0% It is further agreed in the JVAs that the shareholders of the JV Cos will contribute total of RM 3 million as shareholders&rsquo loans (Shareholders' Loans), in proportion with their shareholding interests in the JV Co. As such, the Group will contribute an aggregate of RM1,029,343 in cash for its share capital contribution and its proportion of the shareholders' loan. The Group intends to finance this investment in the JV Cos through internal sources of funds. |

That subject to and contingent upon Ordinary Resolution 2 being passed, the contributions of RM 23,488,602 made pursuant to the terms of the Proposed Joint Venture as capital and shareholder loan contributions to Casa Property Development Sdn. Bhd. for the purpose of various payments made pursuant to the provisions of the SPA, be and are hereby approved, confirmed and ratified. |

The joint venture (JV) will be entered into between our Company and Pavilion Propel Sdn Bhd, a company wholly-owned by Polybuilding (S) Pte Ltd by way of a joint venture agreement. Info on T& S Property Sdn is a property investment company in Malaysia. It is an unrelated third party. Info on land comprises two plots of land held under at Geran Mukim 975 Lot No. 549 & Geran Mukim 938 Lot No. 550 in the Mukim of Tanjung Kupang, District of JB, State of Johor, containing a total area of 2.3043 hectare. Lot 549 and Lot 550 are adjacent to each other, and have an area of 1.8211 hectare and 0.4832 hectare respectively. It's freehold land. JV Co intends to build two warehouses & a factory. One of the warehouses is intended for used by the Co and the other warehouse and fty are intended for used by Polybuilding. Upon completion of the Amalgamation, Subdivision and Transfer (as defined in paragraph 5 below), the Coy will hold a plot of land of approximately 1.2674 hectares to build its warehouse. The book value and net asset value of the Land is RM7,936,944, being the value of the Consideration for the Land. |
