x 0   x 0  Alert Admin	Is anyone knw the reason or wat is the explanation of FACL to MAS for the sudden increase in number of shares? And why the shareholder wanna remove Gary Loh frm board and withdrawn aftertat...FACL bought 60 millions share at avg 0.108 sold at some at 0.05..really alot question mark for investor like me..wat is the plot behind all these action? Is the price action recently suggesting someting is brewing behind? Or just simply BB pump and dump?

It has proposed to acquire a 51 per cent stake in Harvest Season Singapore, having entered into a conditional sale and purchase agreement to acquire 510,000 ordinary shares of the latter. This will be paid for through an allotment and issuance of 60 million new ordinary shares in the capital of SunMoon to vendor Fresh Fresh this constitutes approximately 18.82 per cent of SunMoon' s current issued share capital. At 5.18 Singapore cents per SunMoon share, the purchase consideration works out to about S$3.11 million. Watch this company.   PROPOSED ACQUISITION OF 510,000 ORDINARY SHARES REPRESENTING 51% OF THE TOTAL ISSUED SHARE CAPITAL OF HARVEST SEASON SINGAPORE PTE. LTD. Where capitalised terms are used in this announcement and not otherwise defined, such capitalised terms shall bear the same meanings as ascribed to them in the Term Sheet Announcement (as defined below). 1. INTRODUCTION 1.1 The board of directors (the &ldquo Board&rdquo ) of SunMoon Food Company Limited (the &ldquo Company&rdquo ) refers to the Company&rsquo s announcement dated 27 April 2015 (the &ldquo Term Sheet Announcement&rdquo ). 1.2 Further to the Term Sheet Announcement, the Board wishes to announce that the Company has on 17 June 2015 entered into the following agreements:- (a) a conditional sale and purchase agreement (&ldquo SPA&rdquo ) with Fresh Fresh Pte. Ltd. (a company incorporated in Singapore) (the &ldquo Vendor&rdquo ), Mr. Zhang Jiang Quan (&ldquo Mr. Zhang&rdquo ), and Mr. Ong Yaw Teh (&ldquo Patrick&rdquo ) (Mr. Zhang and Patrick are collectively known as the &ldquo Vendor Warrantors&rdquo ) in relation to the acquisition of 510,000 ordinary shares in the share capital of Harvest Season Singapore Pte. Ltd. (&ldquo Harvest Season SG&rdquo ) (the &ldquo Sale Shares&rdquo ) from the Vendor (the &ldquo Proposed Acquisition&rdquo ). The Sale Shares represent 51% of the issued and paid-up share capital of Harvest Season SG, and are legally and beneficially owned by the Vendor as at the date of the SPA and (b) a joint venture agreement (&ldquo JVA&rdquo ) with the Vendor, Vendor Warrantors and Harvest Season SG governing the obligations of the Company, the Vendor, Mr. Zhang and Patrick in relation to the Proposed Joint Venture (as defined in paragraph 2 below). 1.3 The Proposed Acquisition shall be conditional upon the satisfaction of the conditions precedent set out in the SPA.
