At this stage, it will  be of substance that all shareholders put their effort into putting a proposal for a favorable resolution on EHT. When an official proposal is made, each shareholder needs to be an official signatory.  This will require the name of each shareholder (as per NRIC/Passport) and objective evidence of the number of shares they hold (from CDP or custodian account records) as a condition to be a signatory.    Thus if there is any correction needed on the number of shares it will be automatically resolved at this stage.  |

Very well put, Kandee.  There are various stakeholders in this entire saga and they all have their own responsibilities - the WUs, the Directors, DBS IPO Manager, DBS Trustees, DBS as the placement agent, MAS (as the gatekeeper and supervisor of the Reit Manager and registering of the IPO prospectus, and for directing the removal of the EHT Manager, putting us in the mercy of the DBST) and SGX as the marketplace. Even CAD which is supposed to be investigating the perpetrators, with no news for the longest time. They should all have their roles and responsibilities to be taken into account.  That said, DBS is the easier stakeholder to get through.  The WUs are too far away and not in Singapore, and the SG Directors unlikely to be able to bear the full costs and provide much compensation (although they should bear their fair share). We should consider how to get to each of these, in turn.

I have been following this EHT thread.      I do not own EHT shares but almost invested in them during the IPO.    I too had lost a huge sum on another IPO that went bust. Thus I feel the pain and anger of EHT shareholders.   The EHT IPO prospector did not make me feel it was kosher for 2 reasons, 1) there was no locking period for the major shareholders (if I remember correctly, including the sponsors) and 2) the Queen Mary II as with knowledge from the marine industry, it is going to take a lot of constant maintenance for a 1937 ship!.  Also, some of the proceeds were to maintain this ship.    (Note: I did apply in ARA hospitality IPO that was issued a week earlier and was allotted shares.  I liked their prospectors better.  It tanked due to COVID, but I am still holding on to them).  However, from an investing perspective, especially in REITs, the ongoing saga for a resolution in EHT is in my interest.  The reason being that this is not the first REIT (or IPO) that had run into issues nor it is going to be the last.  Thus a positive resolution will be a lesson learned on moving forward.  When DBS Trustee proposed a new REIT manager, it failed during an EGM, due to the proposed fee of the new manager which was in cash was not approved, thus rendering all other resolutions which passed, mute.  I thought this was a good deal for the shareholders, thus baffled that it did go through.  Chatter is that why the new REIT manager should take fees, make it profitable and then take the fees, preferably in EHT units.  I was baffled by this thought.  EHT was underwater and for any company that is being winded down, the liquidator takes the first cut in cash of any proceeds.  In this case, the REIT manager was to revive the company and be paid appropriately for their managerial cost...  At the current stage, the proposal by Martin, Goldfinger, and others with similar conditions is a good proposition. They all have taken the initiative to try to find a good resolution for EHT shareholders collectively.    There will be disagreements on the proposal, but keep it civil and give your inputs.  Don' t trivialize things.    Keep in mind the present goal now, which is to find a good resolution for EHT and its shareholders.  Take note EHT is a business and if it is not paying its dues, to vendors, government (property tax and etc.), workers it will be winding down and not wait till market prices recover.  Thus a lot of effort needs to be done to stall this process.    A lot of anger is pointed at the trustee.  While there are responsibilities for the trustee to take responsibility if it had failed on its part, the ultimate responsibility lies with the owners and managers of EHT.  There were many things that were down which were not kosher at the EHT managerial level and the sponsor level.    They need to be accountable first before other involved parties.    My advice is that there is no right or wrong method to approach this issue.  Work together, put your ideas on the table, consolidate the best ideas and put your case forward.  Make sure you address it to the correct authorities to have your case heard.    All the best.      |
