The issue price of the Placement Shares shall not be less than S$0.20. In addition, Rule 811(1) of the Catalist Rules requires that an issue of shares must not be priced at more than a 10.0% discount to the weighted average price for trades done on the SGX-ST for the full market day on which the placement or subscription agreement is signed. Rule 811(3) provides that Rule 811(1) is not applicable if specifi c Shareholders&rsquo approval is obtained for the issuance of shares at a greater discount. In order for the Company to comply with the rules set out above and in view of the uncertain market conditions, the Company is seeking Shareholders&rsquo approval for the Company to issue the Placement Shares at a discount to be determined by the Proposed Board of Directors based on, amongst others, the market conditions as well as the demand during the book-building process (in which case, the discount may be more than 10.0%), provided that such issue price shall not be less than S$0.20. It will be interesting to see who the shares are placed out to. Placement of the shares cannot be more than 10% discount to current trading price as per the Circular. I think that is the obvious why the share price is not being move up.
