SINGAPORE &ndash Thailand&rsquo s richest man Charoen Sirivadhanabhakdi is poised to start examining the finances of United Engineers Ltd, people with knowledge of the matter said, laying the groundwork for a potential acquisition of the Singapore property and construction company. Mr Charoen' s TCC Top Enterprise Ltd plans to begin due diligence on United Engineers and its WBL Corp unit next week, the people said, asking not to be named as the process is private. Exclusive talks with minority shareholder Oversea-Chinese Banking Corp and its insurance arm will expire six weeks after due diligence starts, according to an August filing.

(Bloomberg photo) OCBC, its Great Eastern Holdings Ltd unit and the bank' s founding Lee family own a combined 34.1% stake in United Engineers, according to a filing in August last year. Under Singapore rules, buying more than 30% would trigger a mandatory takeover offer for United Engineers, which has a market capitalization of S$1.83 billion ($1.4 billion). Representatives for TCC, OCBC and United Engineers declined to comment or weren' t immediately available. Shares in United Engineers have jumped 26 percent since Aug. 21, when news broke about Mr Charoen' s talks to buy OCBC' s stake in the company. They have traded at an average S$2.84 since Aug. 22, the day after OCBC disclosed the discussions. United Engineers has been divesting assets after buying Singapore-based builder WBL Corp last year for $725 million including debt. It reached a deal in October to sell a majority stake in an engineering and construction business, UE E& C Ltd, for S$230 million. In August, United Engineers agreed to sell its car-dealership unit to Malaysia' s Samling Group for S$455 million and its MFS Technology business for S$124 million. |

Which is all the more important for the takeover party to keep the current price as low as possible so they don't hv to pay more. Possibly this cd be the reason for the large numbers of buyers appearing on the buy queue daily. If u hv MD u can see them there on the queue. Doubt they are retailers. Its an indication the action is about to begin.

Correct me if I' m wrong. I thought under the Code of Takeovers, if he buys from OCBC/GE the => 30% to trigger a taskeover, the price he pays OCBC is the takeover price. If he then increases his offer to the rest of the shareholders, he' d have to pay the difference to OCBC/GE.

Possibly the big buyers are waiting for the OCBC/GE lot of shares to be bought. To push up the price now wd make the overall cost of takeover higher. Eg now the price $2.90. If OCBC let go at 10% above mkt price, the offer to rest of shareholders is $3.19. Suppose the buyer needs to coax remaining shareholders by offering another 20% ie $3.82. Hence they need to pa 3.82 to 64% of shareholders.
If however price now shoot $3.30, this means buyer pays $3.63 to OCBC and $4.36 to 64% of shareholders.
The final scenario played out cd be the latter as there wd be a scramble the moment the OCBC lot of 36% Ue shares are sold to Ah Chai. The sale of UE E&C has just passed shareholders' approval. Likely action shd begin soon.

Why? Price goes up and down until the deal is confirmed. When it goes up to 2.99 it does not mean deal is confirmed. So if it goes down to 2.86 it should not mean deal is off. No basis for such statement.

Still waiting for bonus from Ah Chai. Hope these few days will have something, after unanimous approval by shareholders to sell UE E& C, surely the price of UE could be agreed upon between OCBC and Ah Chai. At least $3.50 or so, but hopefully we can get a price of close to $4.00 at the end. |
