The CB agreement is positive in that it puts SG on a stronger financial footing with the partial bond repayment and extension of the balance over a longer period of 30 months and at a much lower interest rate. The main issue however lies in the uncertain timeframe of the IPO if ever it happens. It is quite interesting to note that the IPO dream has been ongoing for several years now and yet there isn' t any light at the end of the tunnel yet. And even more interesting is that the bondholders who have been supporting SG since 2011 continue to believe that the IPO dream is still on. Given the fact that they would have done their due diligence and have access to more info than us about SG, there is reason to believe that the IPO is still a strong possibility. Of course, we must not forget that they are compensated by the 7% annual return in the event that the IPO does not materialise. But it demonstrates their confidence in the company and its business fundamentals. Another interesting point about the CB agreement is the allowance for New Investor Qualifying Share which open the way for a new strategic investor to come in. The minimum subscription amount is equivalent to the amount owing to the bondholders. Is this in the immediste pipeline or merely an extra option for SG to consider? Reducing its debt burden and having a stronger balance sheet at the expense of faster growth can actually be a good thing as it better allow SG to withstand any financial shocks and business slowdown. While the IPO dream is till ongoing, how well the price performs will be dependent on how well SG executes its business strategy of diversifying into non-beverage business and not being overreliant on a single product segment. |
