As mentioned before, TH, KC, SCM, JPM and CS had long and thorough discussions.  They knew what KOM and SCM have, their plans, their liabilities, etc.  Minority SHs who said KC pushed whatever fines or penalties KOM are liable for to Bayberry are naive.  These wld have been featured and factored in during the discussion, deliberations and negotiations.  It is after factoring in all these liabilities that the team conclude that the following are fair and equitable: 1. Bayberry pays KC $500m 2. KC SHs get 18 to 23 Bayberry shares in specie for every KC share they hold 3. 1 SCM share becomes 1 Bayberry share. Anyone who think above are not fair has a choice to vote " No" to merger at the EGM. The EGMs are to vote " Yes" or " No" to the proposed merger, not to renegotiate the terms. Any contract win is good for Bayberry if merger proceeds.
