Vallianz Holdings defers distribution for US$22.5m perpetual securities
 
OFFSHORE support-vessel owner and operator Vallianz Holding has exercised its rights to defer a payment of distribution to perpetual securities holders originally due on Tuesday.
 
The firm had issued US$22.5 million worth of senior perpetual securities, carrying a 4 per cent coupon, as part of its S$500 million multi-currency debt-issuance programme.
 
In a bourse filing on Tuesday, it said the deferment of distribution had been on the basis that in the preceding 12 months, no dividend, distribution or other payment has been paid or declared by the firm on or in respect of any of its junior obligations.
 
Also, none of the firm' s junior obligations has been redeemed, reduced, cancelled, bought back or acquired for any consideration by the firm.

Swiber released an announcement on the Vallianz proposed right issue.   This sentence under the 2.3b)  The Set-Off and Settlement Arrangements are in the interests of the Company set out their intention with the right shares.

As the SHL Rights Shares with SHL Warrants and the New VHL Shares to be issued pursuant to the exercise of the SHL Warrants will be listed and quoted on the Catalist following completion of the VHL Rights cum Warrants Issue, the Company would be provided with the opportunity to convert outstanding amounts owing by VHL to the Company (where there is no certainty that such outstanding amounts will be fully repaid, if at all) into more liquid and marketable assets in the form of the SHL Rights Shares with SHL Warrants and the New VHL Shares (as the case may be), which the Company may readily realise for the purpose of generating cash flow and alleviating financial pressures of the Group. This would assist in achieving the purposes of the judicial management of the Company, including a more advantageous realisation of the Company&rsquo s assets than would be effected by a winding up of the Company.

So now a race to the exit liao?

 Alert Admin 		The usual patttern of good profit poor cashflow resumed.   Very disappointed with Vallianz liao.   I thought it has repented.   Seems like too early to say now.

Vallianz advanced US$28mil to one of its JV.   That' s a big sum of cash and deserved more info than that crappy one-sentence statement in the cashflow commentary.

 Alert Admin 		The real issue is too many shares floating. Looking at the overall shares outstanding figure of 4.45 billion and then comparing that with whats being held by SSH the total number of shares outside the SSH circle is close to 2.5 billion it is exteremely difficult for shares to go up in such scenario imo, unless a big players comes and starts scooping shares from the market.
