Ltd. as the placement agent (the ?Placement Agent?). Pursuant to the Placement Agreement, the Company has agreed to offer, by way of placement, and the Placement Agent has agreed to procure purchasers and/or subscriptions on a best efforts basis for, an aggregate of up to 170,000,000 new ordinary shares in the capital of the Company (the ?Placement Shares?) at an issue price of S$0.0603 for each Placement Share (the ?Placement Price?), amounting to an aggregate consideration of up to S$10,251,000 (the ?Placement?). Under the terms of the Placement Agreement, the Placement Agent may make sub-placement arrangements in respect of its placement obligations under the Placement Agreement upon such terms and conditions as the Placement Agent deems fit.
